Job Title: Corporate Paralegal

Job Summary: GPAC is seeking a highly skilled Corporate Paralegal to assist attorneys with the preparation, review, and management of corporate and transactional documents and processes. The ideal candidate will have strong organizational skills, attention to detail, and a deep understanding of transactional law.

Key Responsibilities:
  • Draft and Review Documents: Prepare, review, and organize transactional documents such as contracts, agreements, and amendments.
  • Due Diligence and Document Management: Assist with due diligence and document management in transactions.
  • Client and Attorney Coordination: Coordinate with clients, attorneys, and other parties to facilitate transactions.
  • Closing Documents and Post-Closing Matters: Prepare closing documents and handle post-closing matters.
  • Research and Compliance: Conduct research on legal and regulatory issues relevant to transactions.
  • File Management: Maintain and manage files and databases related to transactional matters.
  • Government Filings: Prepare and file documents with government agencies as needed.
  • Transaction Summaries and Reports: Assist in the preparation of transaction summaries and reports.
Qualifications:
  • Education: Associate's degree or paralegal certificate; Bachelor's degree preferred.
  • Experience: Minimum of 4 years of experience as a paralegal, with a focus on corporate law.
  • Knowledge: Strong knowledge of corporate, real estate, and commercial law.
  • Skills: Proficiency in Microsoft Office Suite and legal research tools.
  • Personal Qualities: Excellent organizational and time-management skills, ability to handle multiple tasks and meet deadlines, strong written and verbal communication skills, attention to detail, and a commitment to accuracy.
