Primary Duties:- Drafting legal documents for financing and various commercial agreements.
- Conducting and summarizing organizational documents and due diligence investigations.
- Maintaining deal checklists and overseeing due diligence activities.
- Preparing incorporation documents for business entities.
- Managing stock certificates, stock powers, and related transfer documentation.
- Creating officer certificates and corporate resolutions.
- Coordinating searches in state and county jurisdictions for legal matters, including tax liens, UCC filings, and judgments.
- Reviewing and summarizing the results of legal searches.
- Preparing and filing UCC and mortgage releases.
- Bachelor's Degree and/or paralegal certification.
- A minimum of 3 years of experience as a paralegal.
- Familiarity with general corporate paralegal responsibilities, corporate filings, UCC searches, and maintaining minute books. Experience with loan transactions is advantageous.
- Proficient in Microsoft Office applications.
- Strong written and verbal communication skills.
- Meticulous attention to detail and excellent organizational skills.
- Able to manage repetitive tasks and meet deadlines effectively.
- Capable of working independently as well as collaboratively within a team.
