Your Responsibilities:

  • Forming and structuring business entities and joint ventures, including limited liability companies, partnerships, and corporations.
  • Drafting essential governing documents, buy-sell agreements, and resolutions for various business entities.
  • Managing the merger, conversion, and termination processes of business entities, including all necessary documentation.
  • Negotiating and drafting agreements related to asset and entity transactions across multiple industries.
  • Engaging in real estate investment partnerships and private placements, with a focus on deal structure and tax implications.
