A top Global Reinsurance Firm is looking to bring onboard a talented Corporate Counsel to join their lean in-house legal team. This role will primarily be responsible for handling multi-billion dollar transactions, while also providing expert legal guidance on corporate governance, securities law compliance, and other corporate matters including drafting documentation for investments, commercial and corporate contracts. This candidate will also be reasonable for preparing SEC filings in accordance with the 1933' and 1934 Acts. This is an exciting opportunity to join a growing firm with exposure to senior leadership at the company's US HQ.
Key Responsibilities:
- Handling multi-billion dollar complex transactions
- Provide legal advice on corporate governance matters.
- Oversee and ensure compliance with federal and state securities laws, including reporting obligations and disclosures.
- Assist in the preparation and review of SEC filings, including Forms 10-K, 10-Q, and 8-K.
- Support M&A transactions, including due diligence, negotiation, and documentation.
- Collaborate with internal stakeholders on legal issues related to corporate strategy and risk management.
- Monitor and analyze changes in securities regulations and corporate governance trends
Qualifications:
- Juris Doctor (JD) from an accredited law school.
- Active membership in the Missouri State Bar (or eligible for in-house counsel registration).
- 3-5+ years of experience in corporate law, with a focus on transactional experience and expertise in securities law, preferably from a top law firm
- Strong understanding of the Insurance, Reinsurance, or Financial Services industry is a plus.
- Excellent written and verbal communication skills.
