Transactional Paralegal for Mergers and Acquisitions

A reputable organization is seeking an experienced Transactional Paralegal to support their legal team in corporate transactions, particularly in Mergers and Acquisitions (M&A).

Key Responsibilities:

  • Assist attorneys in preparing, reviewing, and executing M&A documents.
  • Conduct due diligence on potential transactions.
  • Manage closing checklists and document tracking.
  • Coordinate the execution and delivery of closing documents.
  • Organize and maintain transactional files and manage virtual data rooms.
  • Conduct UCC, lien, and other searches to evaluate potential risks.
  • Prepare and file required corporate documents with state and federal agencies.
  • Act as a liaison between internal teams, external clients, and regulatory bodies.
  • Assist with general corporate governance matters.

Qualifications:

  • 3-5 years of corporate or M&A paralegal experience.
  • Expertise in corporate governance and transactional processes.
  • Strong organizational and time management skills.
  • Excellent written and verbal communication skills.
  • Proficiency in document management systems and Microsoft Office.
  • Bachelor's degree and/or Paralegal Certificate preferred.

Preferred Qualifications:

  • Experience in a law firm or corporate legal department handling mergers and acquisitions.
  • Familiarity with legal research tools and deal-specific platforms like data rooms.
