Position Purpose The Paralegal will be responsible for supporting all aspects of TAIT’s global entity management and corporate governance processes, assisting IP counsel in developing and maintaining TAIT’s intellectual property portfolio, and providing support to attorneys. This role requires exceptional organizational and communication skills, and the ability to prioritize and independently handle competing deadlines in a fast-paced environment.
Essential Responsibilities
- Manage all aspects of global entity maintenance, including handling state and local filings relating to new entity formations, foreign qualifications, and dissolutions.
- Assist with all aspects of global corporate governance, including preparation of governing documents (bylaws, operating agreements), officer and director appointments, and preparation of annual consents.
- Support internal clients and functional partners by preparing corporate documentation, including shareholder and member consents, resolutions, officer certificates, and production of records and reports to support regulatory and tax filings, internal and external audits, corporate transactions, treasury banking, and KYC requirements.
- Liaise with outside IP counsel and internal stakeholders to develop, protect, and maintain TAIT’s IP portfolio. This includes managing annuity payments, supporting the invention disclosure process, and maintaining Company IP records and files.
- Support CEO, CLO, and CFO with the preparation of quarterly Board meeting materials, maintenance of minutes, and corporate records.
- Support Equity Incentive Awards and maintenance of records and CAP tables.
- Successfully complete special projects and other assignments as needed.
- Attend meetings, seminars, and training sessions as required.

- Confidentiality: Handling sensitive information and legal matters requires a commitment to maintaining strict confidentiality.
- Technology Proficiency: Proficiency in legal software and document management systems is essential for efficient matter management.
- Teamwork: The success of legal teams depends on collaborating closely with attorneys, other paralegals, and support staff.
- A bachelor’s degree and qualifications to be a paralegal by certification or education, as well as work experience as set forth by the American Bar Association and any applicable state codes.
- 4-6 years of operational entity management knowledge and experience at a law firm or in-house legal department.
- Ability to handle a high-volume workload in a fast-paced environment with a strong degree of accuracy, efficiency, and reliability.
- Emotional Intelligence “EQ” skills to build bridges, forge alliances, and encourage people to want to work with you to foster cross-department collaboration. A calm head and steady hand to deal with the unexpected.
- A highly professional demeanor, positive outlook, and can-do attitude.
- Proficient with Microsoft Office Suite and other document management systems.
