Description

Position Summary:

We are seeking an organized, detail-oriented, and proactive In-House Corporate Paralegal to provide direct support to FreshDirect's Legal Department, specifically Sr. Director, Legal. This position will be based at our FDC Campus in the Bronx and will be responsible for handling a wide range of corporate legal and administrative tasks, ensuring smooth operations across governance, contracts, litigation, and other business legal matters.

Key Responsibilities:

  • Corporate Governance & Board Support
    • Co-manage administrative aspects of corporate board meetings, including preparing and distributing communications to board members and shareholders.
    • Assist in maintaining corporate governance documents, including managing state filings, corporate registrations, minute books, and officers' listings.
    • Draft corporate resolutions, consents, and other corporate governance materials.
  • Entity & License Management
    • Ensure the maintenance and renewal of licenses and permits for business operations.
    • Partner with CSC to maintain corporate good standing for all entities across jurisdictions.
    • Regularly update the corporate database and internal reference documents to ensure compliance and operational accuracy.
  • Litigation & Transactional Support
    • Manage litigation caseloads and assist in discovery requests.
    • Coordinate with outside counsel for deposition scheduling and related requests.
    • Conduct fact investigations, summarize materials, and provide concise reports.
    • Support transactional due diligence by coordinating with internal teams and securing required information for outside counsel.
  • Contract & Matter Management
    • Oversee legal files and matter management tools related to contracts and ongoing legal matters.
    • Draft initial forms of agreements, contracts, and other documents for review by Sr. Director, Legal.
    • Maintain and update a library of pre-approved form documents, templates, clauses, and historical documents.
    • Collaborate with internal stakeholders to assist in the contract review process and ensure corporate governance documents are properly maintained.
  • General Legal & Administrative Support
    • Manage the daily calendar for the Legal Department, tracking key activities and deadlines.
    • Prepare routine letters, reports, and responses to requests for information, certificates, and other documents from corporate colleagues in various departments.
    • Assist Sr. Director, Legal with monthly data analysis and internal reporting.
    • Track and code external legal spend for budgeting purposes.
    • Provide general administrative support to the Legal Department as needed.
    • Serve as the appointed notary public.
    • Assist with additional projects and tasks as assigned.
Qualifications:
  • Education & Experience
    • Associate's degree in Paralegal Studies or related field, with Paralegal Certification or equivalent training preferred.
    • Minimum of 5 years of in-house corporate legal experience.
    • Strong understanding of corporate governance, contracts, and legal documentation.
    • Prior experience in handling legal files, minute books, resolutions, and corporate filings.
  • Skills & Abilities
    • Strong organizational skills and the ability to manage multiple priorities in a fast-paced environment.
    • Exceptional attention to detail, with the ability to produce high-quality work under tight deadlines.
    • Proficient in legal document drafting, with excellent written and verbal communication skills.
    • Experience working with corporate governance materials and transactional due diligence.
    • Ability to work independently, exercise sound judgment, and know when to seek legal counsel.
    • Excellent interpersonal skills and the ability to collaborate with cross-functional teams.
    • Experience with MS Office, SharePoint, Adobe Acrobat DC, and legal management software.
    • A high level of discretion and confidentiality is required.
  • Additional Requirements
    • Valid Notary Public certification or the ability to obtain one.
    • Ability to assess potential legal risks and exposure and address issues proactively.
