POSITION OBJECTIVE:

Our client is seeking a talented, hands-on Tax Manager to be responsible for everything tax related to all aspects of the private equity funds, portfolio companies, investor strategy, and internal general partner/management company entities. The Tax Manager will report directly to the CFO, work closely with outside tax service providers, and the finance team to help develop and maintain a world class tax function.

SUMMARY OF RESPONSIBILITIES:

  • the timely execution and filing of all relevant tax returns, tax filings, withholding requirements, extensions, tax compliance, etc.
  • investment and investor book to tax recs on a quarterly, annual, and inception to date basis. Create, develop, and run an efficient process in partnership with outside tax advisors.
  • with Controller to create quarterly tax reporting packages that bring transparency to internal stakeholders.
  • with foreign investor tax requirements. Take the lead on ad hoc tax questions/requests from limited partners, including complex questions from our offshore funds investors.
  • company tax estimates and partner planning/reporting tax side.
  • tax sourcing planning for management company and funds; propose/implement tax savings on pass-through entity elections for Mgt. Company and GP.
  • the federal and state tax withholding requirements. Determine state tax withholding for each distribution/exit. Understand state tax impact in order to properly withhold at time of distribution from a matching perspective.
  • with Portfolio Companies/Deal Teams on new acquisition structures.
  • with Portfolio Companies/Deal Teams on exit transaction steps. Work with Portfolio Company at exit for good and accurate estimate of tax implications including the taxable gain, character of income, and amount of ECI/UBTI.
  • in blockers and optimizing after-tax returns for investor.
  • external tax providers with accounting data for tax returns and respond to questions and other ad-hoc requests.
  • externally prepared tax workpapers, Federal and State tax returns, Schedule K-1s and quarterly estimates, and non-US tax filings for both the management company and Fund.
  • to Fund investor and other stakeholder requests.
  • tax issues well in-advance and serve as a key member to the Finance team.

QUALIFICATIONS:

  • Must possess a strong understanding of complex private equity investment structures, partnership accounting, private equity and credit fund tax accounting, carry waterfalls and the corresponding complex tax issues.
  • Understanding of management company tax accounting, foreign holdings and foreign investors, and tax compliance for a private equity firm.
  • Ability to serve as a key strategy partner with the CFO: excellent analytical, reasoning, and problem-solving skills.
  • Intellectual curiosity with a strong ability to identify and execute processes to enhance efficiency and productivity.
  • Ability to support a position with facts and analysis, maintain up to date written documentation.
  • Must represent the company and hold the highest level of integrity and dependability at all times with a strong sense of urgency and results-orientation.

REQUIREMENTS:

  • Degree in Accounting
  • years of relevant experience in financial services with a leading public accounting firm, or private equity firm
  • strongly preferred

COMPENSATION:

In order to attract best-in-class talent, a competitive compensation will be designed for the final candidate commensurate with experience. This package will include a competitive base salary, an incentive and bonus plan.
