We are seeking a talented and motivated Corporate Counsel to join our legal team. As a mid-level attorney on our legal team, you will play a crucial role in advising the company on corporate matters, regulatory compliance, and transactional work. This position requires excellent analytical, communication, and problem-solving skills, as well as a comprehensive understanding of corporate law. Culture and attitude will play a large role in identifying a qualified candidate, as the right mindset and drive are more important than specific subject matter expertise.
Corporate & Regulatory Counsel Duties and Responsibilities
- Provide legal advice and guidance on corporate law matters, including regulatory compliance, mergers and acquisitions, securities and general corporate matters
- Monitor changes in laws and regulations and update the company's policies accordingly
- Oversee the company's ethics and compliance process, working with internal stakeholders on internal investigations and reports
- Draft, review and negotiate contracts and other legal documents
- Develop and implement strategies to protect the company's interests in corporate transactions
- Assist with preparation and submission of SEC filings, proxy statement and annual shareholder meeting materials
- Assist with compliance with the company's governance documents (Certificate of Incorporation, By-Laws, Corporate Governance Guidelines, Committee charters), applicable securities laws and regulations, stock exchange rules and related regulatory compliance obligations
- Advise and assist in the company's compliance with federal, state, provincial, and local regulations relating to the company's business
- Draft, review and revise board and committee resolutions
- Work collaboratively with other attorneys in the legal department and management to help solve complex problems
- Assist with the continued development of processes and procedures to support the company's maturing operations
- Prepare budgets, review invoices and manage outside counsel relationships
- Provide cross-training opportunities within the legal team
- Juris Doctorate from an accredited law school
- Valid license to practice in Florida or another US state bar
- 5+ years of experience in corporate and regulatory law preferred
- Prefer 2+ years of experience in public company regulation or securities law
- General knowledge and experience advising public companies on public disclosure and the governance aspects of the Sarbanes-Oxley Act and Dodd-Frank Act, related SEC rules, and the NYSE corporate governance listing standards
- Able to work independently and as part of a legal team
- Strong analytical and research skills
- Highly organized, detail-oriented and able to manage and think analytically about projects
- Customer-focused and service-oriented
- Proactive and able to function effectively in environment of rapidly changing demands
- Sound judgment and decision-making capability
- Capable of performing responsibilities within specified deadlines and handling multiple priorities
POSITION LOCATION
This is an onsite position at the corporate office in Daytona Beach, FL
TRAVEL REQUIREMENTS
Up to 10% Nationally

Work is performed in a typical office environment and may require standing, bending, lifting of boxes or packages under 10 lbs., and sitting for long periods of time. Work requires regularly inputting/retrieving words or data into or from an automated/computer system.
