This position will also support the lead lawyer (Sr. Legal Counsel and Compliance Officer) with contracts and other legal tasks. Primary Job Duties Issuance and negotiation of trading contracts and related documents Storage management of such trading contracts in Documentum and other agreements (i.e., storage, operations, confidentiality agreements) Reporting to Head of Contract Desk on trading contracts’ quality and timely issuance, compliance with procedures Collaboration with Contracts Desk with issue-spotting/troubleshooting and upgrades to contracts systems, including based trading risk management and Documentum systems Management of required contracts approvals in accordance with policies and procedures Reporting of required contracts for insurance purposes Negotiation of counterparty-specific master trading agreements, for use on ICE, where applicable Work with Finance Department in reviewing and negotiating Parent Guarantees and Non-Disclosure Agreements Respond to inquiries from Operations and Demurrage related to contract interpretation Draft and review amendments to product storage agreements Review various operational documents such as Letters of Indemnity and Certificates of Origin. Required Education and Experience Texas-licensed attorney with a minimum of three (3) years of practice experience (energy trading contracts and general corporate transactions) Juris Doctor or foreign-equivalent law degree with an LLM Trading company experience (either directly as an employee or indirectly as outside counsel supporting such a business) Knowledge, Skills, and Abilities Trading contract negotiation experience is required; knowledge of physical crude oil and petroleum products trading is an asset Knowledge of INCOTERMS (shipping and insurance) is an asset Strong leadership and communication skills are required Familiarity with storage agreements, service agreements, fuel regulatory compliance, confidentiality agreements and parent company guarantees is a strong asset Familiarity with corporate governance is an asset Familiarity with KYC processes is an asset
