A New York City healthcare network is looking to fill an immediate need with the addition of a new Contracts Specialist to their staff. In this role, the Contracts Specialist will be responsible for handling contract review on new or updated contracts that are coming in through the contract queue.

***This is a Hybrid opportunity requiring the qualified professional to work onsite at least two days a week***

Responsibilities:

The Contracts Specialist will:

  • You will be handling contract review on new or updated contracts that are coming in through the contract queue. You will be reviewing terms and conditions to make sure they comply with current regulations/rules for the organization, etc. and providing edits.
  • This role is a "generalist" Contracts Specialist, so you will handle any kind of contract - technology, professional services, supply chain, any kind of vendor. Ideal candidate will have handled a variety of different contracts - specifically helping negotiate terms from a sourcing/business unit perspective - not just from a legal dept perspective. This means negotiating terms, number of licenses and how they pay for licenses, etc., or discussing discounts, not just the legal wording of the contracts.
  • You will also negotiate Master Services Agreements (MSA), Software as a service (SaaS), Master License Agreements (MLA) and sometimes complex statements of work (SOW)
  • Under leadership's direction, negotiate business and legal terms.
  • Negotiate and recommend terms for governing (i.e. master, framework) agreements.
  • Review, address, and correct as required, all bids/or contracts.
  • Work with the Legal department to draft and modify licensing and service contract terms in accordance with policies, customer specification and legal requirements.
  • Administer the contract management process under the direction of supervisor.
  • Reviews incoming contract /MSAs review requests for completeness and accuracy
  • Oversee the maintenance and integrity of all contract and statement /quotes files.
  • Oversee the filing of all final contracts and completes the meta (key word) data for each agreement filed.
  • Work with finance to verify funding for proposed requests.
  • Work with compliance unit of legal to ensure all BAAs are filed in files and also in compliance files.
  • This includes BAA's embedded in master agreements as well as the stand-alone riders.
  • Negotiates and recommends terms for non-standard BAAs.
  • Oversee the execution of signatures by vendor and internally for approved agreements.
  • Correspond with vendors to get signatures on approved agreements/SOWs.
  • Keep the Intake requisition status current.
  • Inform requester of major status changes as needed.
  • For masters or amendments that require CIO approval, prepare the summary sign off package, and verifies the completeness and quality of the sign off package.
  • File and distribute the countersigned agreements.
Qualifications:
  • Bachelor's degree in legal, JD, paralegal or related field.
  • Preferred experience in health care industry and IT.
  • Preferred experience in using Contract Lifecycle management system.
