The salary range above represents the low and high end in the local currency of Xeroxs salary range for this position and is reflected in an annualized amount. Monthly rates for this position can be shared with you per your location, this rate will fall within the posted range.

This role within the Xerox Office of General Counsel (OGC) reports to the Assistant Secretary and is responsible for driving the companys strategic corporate transactions efforts, including all M&A and financings. The incumbent should be someone who seeks personal and professional growth; The candidate will be responsible for the full range of legal advice and services. They may specialize in one or more of the following areas: contract law, employment law, commercial law, tax law, mergers & acquisitions, compliance, intellectual property, patents, etc.
Encounters diverse array of complex problems where analysis of situation or data requires evaluation of a variety of factors, including an understanding of current business trends.
Develop strategy and lead the Companys efforts, and manage outside counsel, with respect to drafting, reviewing and negotiating M&A related transaction documents.
Develop strategy, provide legal advice and lead the Companys efforts, and manage outside counsel, with respect to buyside and sellside M&A due diligence.
Draft, review and negotiate NonDisclosure and Confidentiality Agreement.
Drive legal due diligence, including: scope and execute diligence plan, lead company management calls and engage teams of associates, specialists and outside counsel.
Represent Xerox in domestic and crossborder mergers, acquisitions and dispositions, leveraged buyouts, tender offers, joint ventures, minority investments and other corporate transactions.
Assist in tracking covenant compliance and regulatory filing compliance.
Assist in supporting the Corporate Secretary function, including with respect to securities law filings, corporate governance and Board and Committee meetings, in each case, related to M&A and financing activities.
Master degree in specialized field (Example: MSC, MBA etc.)
BA/BS and JD with excellent law school credentials.
Licensed to practice law in the US, preferably New York or Connecticut or be eligible for licensure as a registered inhouse counsel in CT.

~57 years of experience doing M&A transactional work at an elite law firm and/or inhouse.
~ At least 5 years lawfirm training at an elite law firm.
~ History of strategic partnering, selfmotivation, working independently on projects, meeting aggressive deadlines and juggling multiple matters.
~ Willingness and eagerness to roll up your sleeves and be part of a historic transformation.
~ SEC and public company compliance and corporate governance experience also preferred.
