The Senior Counsel and Director, Strategy & Partnerships is a newly created role and a key legal advisor to Liberty Mutual Investments partnership and platform strategy, supporting the Head of Strategy & Partnerships. The Senior Counsel, Strategy & Partnerships will structure, negotiate, and advise on complex transactions such as GP stakes, debt platform investments, and BDC platforms.
Success in this position will be driven by a collaborative, solutionsoriented mindset, a commitment to legal excellence, and the ability to build constructive relationships with both internal and external stakeholders. The Senior Counsel, Strategy & Partnerships will play a critical role in enabling Liberty Mutual Investments to optimize deal execution, manage legal risks, and maintain bestinclass operational and legal.
Provide expert legal counsel for structuring and negotiating private investment platforms, including direct responsibility for GP stakes and the establishment of rated feeder fund structures.
Advise on and oversee the legal structuring and seeding of new Business Development Company (BDC) platforms, ensuring compliance with relevant US regulations and industry best practices.
Collaborate closely with investment professionals, portfolio managers, and other business stakeholders to support portfolio construction, underwriting, and ongoing monitoring of investments.
Build and maintain effective working relationships with internal partners (legal, risk, compliance, investments, senior management) and external constituencies (outside counsel and business partners).
Monitor developments in relevant legal and regulatory frameworks; ensure transactions and structures comply with legal requirements.
Develop and implement best practices for legal risk mitigation and transaction efficiency.
Support and contribute to Liberty Mutual Investments partnership and platform strategy by ensuring alignment of legal frameworks with business goals.
Legal Excellence: Significant relevant experience at leading law firm and/or corporate environments; Private Investment Transactions: Ability to structure and negotiate investment platforms providing GP stakes; understanding of debt funds and associated rated feeder funds, and experience with seeding new Business Development Company (BDC) platforms.
Demonstrated ability to navigate complexity and drive consensus as well as build and nurture relationships with internal and external stakeholders including but not limited to regulators and business partners.
Investment Structuring Advisory: Significant background advising sophisticated investors on investments in private investments structures; nuanced understanding of how to structure investments to achieve broader objectives and protect the interests of the parties involved.
Action Orientation: Selfstarter with a bias for action and implementation; Business Partnership: Ability to contribute as a collaborative senior lawyer and business partner who understands balancing risk with organizational growth and realization of commercial goals. ability to proactively and pragmatically move with the pace of the business.

The typical starting salary range for this role is determined by a number of factors including skills, experience, education, certifications and location. Some roles at Liberty Mutual have a corresponding compensation plan which may include commission and/or bonus earnings at rates that vary based on multiple factors set forth in the compensation plan for the role.
