CFO & Legal
JOB TYPE : Permanent
The General Counsel (GC) is responsible for overseeing all legal matters affecting the organization. This role is a strategic leadership position that involves advising the executive team and board of directors on a wide range of legal topics, mitigating risks, and ensuring that the company is compliant with all appliable laws and regulations. The GC acts as a trusted business advisor providing input to both the day-to-day operations aa well as guiding the company’s overall strategy past potential legal hurdles and molding the company’s approach to intellectual property and its patent portfolio.


Advise the CEO/CFO and Executive leadership team on legal matters affecting company operations and compliance risk.
Provide Legal Advice and Counsel: Offer expert and strategic legal advice to senior management, the board of directors, and other departments on all legal matters impacting the business, including corporate law, contract law, intellectual property, employment law, litigation, and regulatory compliance.
Risk Management: Identify, assess, and mitigate legal risks associated with business decisions, operations, and strategic initiatives to protect the company's assets, reputation, and future success. Develop and implement risk mitigation strategies and advise on the company's risk tolerance and appetite.
Contract Management: Draft, review, negotiate, and manage various commercial contracts and agreements, such as vendor contracts, client contracts, and employment agreements, ensuring they are legally sound, protect the company's interests, and align with business objectives.
Litigation Management: Oversee and manage litigation matters, including developing strategies, working with external counsel, and managing budgets, to ensure the company's interests are protected during legal disputes.
Corporate Governance and Policy Development: Advise on corporate governance matters, including board composition, executive compensation, and shareholder rights. Develop, implement, and update internal policies and procedures to ensure they conform to prevailing laws and best practices.
Manage and protect intellectual property, including copyrights, trademarks, and patents, domestically and internationally.
Mergers and Acquisitions (M&A): Advise on the legal aspects of M&A activities, including due diligence, contract negotiations, and ensuring compliance with regulatory requirements.
Managing Internal and External Legal Teams: Oversee and manage the in-house legal team, including hiring, training, and development. Manage relationships and work with outside counsel as needed.


Juris Doctor degree required, preferably from a top 14 law school.
Minimum 10 years of work experience as an in-house lawyer.
Law firm experience preferred.
Proven leadership and team management experience.
Experience supporting global M&A and licensing transactions is preferred.
Ability to work in a fast-paced private equity environment with competing priorities, tight deadlines, and minimal supervision.
Excellent written and verbal skills, with ability to effectively communicate complex legal issues to a diverse audience.
