About the Firm Cole‑Frieman & Mallon LLP (CFM) is a prestigious boutique law firm based in San Francisco with a national practice. We advise on over 300 fund launches each year, focusing on private funds, cryptocurrency, digital assets, and cybersecurity. Position Overview CFM is seeking Associates experienced advising private funds on formations, fundraising, and ongoing operations. Ideal candidates have familiarity with the Investment Advisers Act, Investment Company Act, offshore funds, and parallel fund structures. A strong preference is for candidates who have advised on tax issues related to funds and who hold an LLM in tax. Interests in novel legal issues without established precedent are highly valued. Responsibilities • Advise clients on fund structuring, fundraising, and ongoing regulatory compliance. • Draft and negotiate investment agreements and related documentation. • Analyze and address tax matters pertaining to funds. • Collaborate with a team on cryptocurrency and digital asset transactions. Requirements Good standing and admitted (or pending) with one of the following State Bars: CA, CO, or NY. Minimum of 2 years’ legal experience in investment fund structuring, transactions, regulatory compliance, or tax. Tax LLM preferred. Compensation & Benefits Competitive base salary with bonus potential. 401(k) with match and profit‑sharing. Paid time off, holidays, and paid maternity/paternity leave. Work Arrangement Associates have significant flexibility with remote work and should be within driving distance of one of our offices. Attorneys have a billable target of 1,500 hours per year.
