Legal Counsel - Corporate Perrigo France invites you to join our Corporate Legal team, based at our North American Headquarters in Grand Rapids, MI or Morristown, NJ, with a hybrid working schedule. Description Overview This role supports the Deputy General Counsel in corporate legal matters across Corporate Finance, Investor Relations, Business Development, and Corporate Governance. You will advise on SEC and securities regulation, financial reporting, governance, M&A, tax, and treasury matters. Scope of the Role SEC, Investor Relations & Corporate Finance: Review quarterly 10-Qs and annual 10-Ks, assess 8-K filing requirements, prepare 8-K reports, provide Investor Relations support for press releases and IR slides, advise on non‑GAAP issues, Reg G requirements, insider trading matters, Section 16 and NYSE listing compliance, and proxy statement updates. Board & Governance: Prepare agendas, memos, resolutions, and minutes for quarterly Board meetings; update governance policies; coordinate the Annual General Meeting; monitor corporate governance updates; prepare training materials for Director Education. M&A: Support due diligence, transaction agreements, carve‑outs, integration activities, and regulatory filings alongside the M&A legal team and Deputy General Counsel. Tax & Treasury: Provide legal guidance on financing activities, M&A‑related tax structuring, and domestic and international tax matters. General Corporate Matters: Support entity management, corporate compliance, and day‑to‑day corporate legal issues affecting company operations. Experience Required A qualified and licensed attorney; admission to practice law in a U.S. jurisdiction preferred. Typically 5–8+ years of legal experience working with U.S. publicly traded companies, including both law firm and in‑house experience. Proven track record of supporting a public company. Strong ability to manage senior executive relations and collaborate across functional and organizational lines. Deep understanding of laws and regulations governing the industry and ability to explain complex legal concepts in simple, actionable terms to stakeholders in multiple jurisdictions. Strategic thinking and business acumen, balancing legal considerations with business objectives. Exceptional leadership, interpersonal and communication skills, including advanced written communication. Discretion and integrity; ability to handle sensitive information with confidentiality and ethics. Project management skills, managing multiple legal matters and deadlines; familiarity with legal‑tech tools is a bonus.
