Chief Operating Officer (COO) & General Counsel Location: Houston, TX Reports To: CEO We are seeking an experienced General Counsel to lead our firm’s legal, compliance, and regulatory functions in the fast‑paced world of energy trading. This role is ideal for someone who thrives at the intersection of law, risk, and commercial strategy, and can provide clear guidance in a dynamic trading environment. Responsibilities Serve as the firm’s chief legal and compliance advisor. Oversee day‑to‑day operations and drive process excellence across trading, risk, and support teams. Partner with the CEO and leadership team on governance, risk oversight, and strategic initiatives. Support key negotiations with investors, partners, and counterparties. Provide strategic counsel to trading and commercial teams on deal structures and market‑related risks. Legal & Compliance Draft, review, and negotiate complex trading agreements (ISDA, EEI, NAESB, etc.). Ensure full compliance with CFTC, FERC, NERC, and ISO/RTO market regulations. Lead enterprise risk, internal audit coordination, and regulatory interactions. Manage relationships with external counsel, regulators, and industry bodies. Develop, implement, and enforce compliance policies, training, and internal controls. Commercial & Operational Support business negotiations with counterparties, investors, and partners. Collaborate with commercial and trading teams to structure transactions while managing legal and regulatory risk. Provide operational support by reviewing and approving key documents, contracts, and agreements. Advise executive leadership on strategic decisions with legal and risk considerations. Qualifications 10+ years of experience in legal and compliance roles, ideally within energy trading, commodities, or financial services. Deep expertise in CFTC regulations, ISDA/EEI/NAESB agreements, and trading compliance frameworks. Proven experience as a General Counsel, Chief Compliance Officer, or senior legal leader. Strong negotiation, drafting, communication, and strategic advisory skills. Ability to balance legal, regulatory, and commercial priorities in a fast‑paced, high‑stakes environment.
