Senior Corporate Counsel (Healthcare Legal) As the Senior Corporate Counsel at Providence St. Joseph Health, you will be a pivotal force in delivering strategic and practical legal advice support across our organization. Working under the guidance of the Department of Legal Affairs (DLA) Leadership, you will manage complex transactional and contractual matters, focusing on mergers, acquisitions, strategic affiliations, joint ventures, internal reorganizations, and finance transactions. What You’ll Do Offer valuable legal advice and strategic business consultation to executive management teams and other internal business partners. Draft, review, and negotiate transaction documents and contracts for mergers, acquisitions, joint ventures, strategic alliances, and internal reorganizations. Draft and review governing documents (articles, bylaws, etc.) ensuring compliance with applicable statutes, regulations, and policies. Aid internal business teams with legal and corporate projects and business arrangements. Work closely with finance, operations, and compliance to structure and execute transactions aligned with business objectives. Assist with legal due diligence in connection with corporate transactions. Identify, assess, and manage legal and business risks associated with contracts and transactions. Help develop and implement contracting policies and standard templates to streamline organizational processes. Collaborate within DLA to optimize the delivery of legal services, ensuring consistent, effective legal advice, and managing legal resources. Draft, review, and negotiate a wide array of commercial contracts, including vendor, service, and partnership agreements. Function independently regarding highly complex contracts and transactions. Assume responsibility for administrative functions within DLA as assigned. What You’ll Bring Juris Doctor degree from an accredited law school. Active admission and license to practice law in California or Washington, or willingness to obtain such a license. At least 10 years of relevant experience—law firm experience is a plus—focused on transaction, commercial contracting, and healthcare-related matters. Proficiency in drafting and negotiating agreements related to mergers and acquisitions, corporate finance transactions, joint ventures, strategic alliances, and internal reorganizations. Experience with entity formation, corporate finance, healthcare organizations, and both for-profit and non-profit transactions. Strong drafting, negotiation, and analytic skills. Ability to recognize and weigh business and legal risks, think strategically, and advance practical solutions in a fast‑paced environment. Superior communication skills in both written and verbal forms, capable of conveying complex legal concepts to non‑lawyers. Compensation & Benefits Base pay range: $280,000 - $350,000Additional compensation may be available for this role, including shift differentials, standby/on‑call, overtime, premiums, extra shift incentives, or bonus opportunities.
