We are currently seeking a seasoned Corporate Attorney with 5+ years of experience to build and grow our footprint in the Central New York region. This is an opportunity to work directly with our Office Managing Partner and Executive Committee to establish a strong corporate practice in Syracuse.Job DescriptionAs a Corporate Attorney at Rupp Pfalzgraf, you will work on a broad array of corporate and transactional matters and play a pivotal role in shaping the firm’s Syracuse presence. You’ll advise clients on corporate structuring, transactions, and regulatory compliance, while contributing to the firm’s strategic growth initiatives in the region.Key ResponsibilitiesCounsel clients on business entity formation, structuring, and governance.Draft, review, and negotiate complex agreements including shareholder agreements, operating agreements, partnership agreements, service contracts, SaaS agreements, and buy-sell agreements.Oversee mergers and acquisitions, including due diligence and closing procedures.Advise clients on corporate compliance and risk management strategies.Maintain current knowledge of applicable business laws, especially those affecting New York-based clients.Develop and maintain strong client relationships, with a focus on business development in Central New York.Collaborate with other attorneys and firm departments on multidisciplinary legal matters.Work closely with the Office Managing Partner and Executive Committee to shape the strategic vision for the Syracuse office.QualificationsJuris Doctor (JD) from an accredited law school.Admitted to practice law in the State of New York.Minimum of 5 years of corporate law experience; more senior candidates will be considered for partnership.Demonstrated expertise in corporate transactions and general business matters.Excellent analytical, negotiation, and communication skills.Strong leadership and client development abilities.Proven record of initiative, responsibility, and successful legal outcomes.What We OfferCompetitive salary and benefits package.Partnership opportunity for qualified candidates.Professional development opportunities, including in-house CLEs and firm-paid bar association membership dues.Education Assistance Plan to aid in repayment of student loans.Opportunity to be a key leader in a growing regional office.Access to cutting-edge legal resources and technology.Engaging, inclusive, and collaborative work environment.Salary Range$120,000 – $150,000 per year based on skillset and experience.To apply, please submit your resume to careers@rupppfalzgraf.com.
