I'm currently recruiting for a Transactional Corporate Associate Attorney to be based in Houston.

Your Role:

馃敼 Forming and organizing business entities and joint ventures, including limited liability companies, limited partnerships, corporations, series LLCs and professional entities

馃敼 Experience drafting governing documents, buy-sell agreements, resolutions and other operating documents for business entities is essential

馃敼 Merging, converting, winding up and terminating business entities, including drafting of all required filing and internal documents, such as merger/conversion/termination plans

馃敼 Drafting and negotiating asset and entity purchases and sales for clients in various industries, including drafting of purchase agreements, financing agreements and related transaction documents

馃敼 Drafting and negotiating real estate investment and professional partnerships (including background in deal structure and tax matters) and real estate private placement/exempt offerings

馃敼 A wide range of corporate, M&A or commercial transactions, including strategic analysis, due diligence and negotiations

馃敼 Drafting, reviewing and negotiating a wide range of complex commercial contracts, including NDAs, MSAs, RE purchase agreements, leases, purchase agreements for products and services, and software license and services agreements

Requirements:

馃専 Juris Doctor (J.D.) degree from an accredited law school; admission to the Bar in the relevant jurisdiction

馃専 5+ years of experience in corporate law, with a focus on transactional work.

馃専 Strong academic background from a top law school.

馃専 Ability to handle day-to-day corporate transactions, including setting up entities, annual filings, and compliance with corporate transparency acts.
