JOB SUMMARY:

The Associate Attorney position reports directly to the In-House Counsel and assists in providing general legal advice to members of our organization and representing the legal interests of Satcom Direct in all aspects, including contract drafting, review, redlining, and management, real estate, regulatory compliance, privacy, employment and labor, procurement, pre-litigation activities, environmental compliance, tangible and intangible security requirements, general insurance matters, and corporate entity governance. This is a high-level professional position requiring a thorough knowledge of the laws concerning corporate entities in a variety of domestic and international jurisdictions. The Associate Attorney will exercise a high degree of independent judgment in the performance of duties and major policy matters.

ESSENTIAL DUTIES/RESPONSIBILITIES:

All employees are expected to adhere to and be knowledgeable of Satcom Direct operations and standards, established security/safety rules, and requirements for attendance. The ideal candidate has experience flourishing in a fast-paced, agile company culture and is a proactive, highly communicative organized multitasker with the desire to "own" this position and all its responsibilities. The requirements listed below are representative of the fundamental knowledge, skill, and/or ability required to perform the job successfully:

* Manages fast-paced, full lifecycle commercial contracts process (customer, supplier, and strategic agreements), including contract drafting, review, negotiation, revision/redlining, assignment, execution/signature collection, record keeping, and post-signing obligations.
* Ensures compliance with all contractual obligations, including revenue recognition, contract fulfillment, deliverables, regulatory requirements, and internal/external customer satisfaction.
* Maintains and updates the contract management system database to store/retrieve contracts, track contract status and milestones, and report on upcoming contract renewals or expirations.
* Reviews and updates company terms and conditions and privacy policy in reaction to evolving business and legal trends.
* Analyzes supplier flow-down terms and company policies and procedures to ensure incorporation into applicable contracts.
* Communicates and sets expectations to internal and external stakeholders on all contractual issues, including deadlines, deliverables, renewals, and expiration dates.
* Evaluates and provides recommendations on business transactions to mitigate legal risk.
* Provides legal guidance to team members for day-to-day business unit goals.
* Assists to provide timely, accurate, and practical legal advice and counseling to the organization with discretion and judgment.
* Understands the variety of laws and regulations which impact the operations of Satcom Direct and keeps current with their evolution.
* Prepares corporate governance documentation.
* Performs legal research and prepares memorandums of law.
* Coordinates with In-House Counsel on research, requirements, and recommendations for organizational goals and objectives.
* Works independently and efficiently while coordinating and communicating with the sales, strategy, finance, and HR departments and relevant business stakeholders throughout the process.
* Demonstrates growth through training, education, and thought leadership (e.g., presentations, publications, etc.).
* Provides filing and supplemental administrative support on an as-needed basis.
* Employee may be required to perform additional duties as assigned.

GENERAL QUALIFICATIONS, KNOWLEDGE, AND SKILLS:

* Graduate of a law school accredited by the American Bar Association.
* Either admitted to the Florida state bar or otherwise authorized to practice law in Florida as in-house counsel.
* 1-4 years relevant experience in-house or in law firm's corporate transactional practice.
* While not required, the following experience is preferred:
* Satellite communications, technology services, and/or telecom industry experience.
* Aviation industry experience.
* Proficient in drafting, negotiating, and understanding complex contracts and arrangements.
* Thorough knowledge of legal research techniques, practices, and terminology.
* Demonstrated record of communicating complex legal issues effectively and succinctly for resolution by senior decision-makers.
* Strong computer skills with knowledge of MS Office (particularly MS Word) and the ability to learn all necessary Company software systems.
* Demonstrate high standards of integrity, honesty, confidentiality, and ethics.
* Strong attention to detail, analytical, and critical thinking abilities.
* Excellent persuasion, negotiation, and judgment skills.
* Ability to multi-task in a dynamic and fast-paced environment with an instinct and ability for prioritization of deliverables and general workload to meet critical deadlines.
* Excellent oral and written communication skills with the ability to work both independently and in a team environment, including the ability to interact clearly and concisely with customers and internal stakeholders.
* Possess a high degree of creativity, flexibility, and ability to solve complex multi-faceted legal problems.
* Excellent interpersonal skills and demonstrated ability to troubleshoot and resolve conflicts.
* Willingness to work in an international environment with sensitivity towards regional cultural norms.
* Successful candidates must pass a background check and drug test.
* Candidate must be willing and able to work in the office during working hours with no remote work option.
