Responsibilities

* Assist in company formation, mainly in Delaware, but also in the Cayman Islands and other jurisdictions
* Assist in document execution process for investment transactions and new fund launches
* File documents with Secretaries of State in various states such as share designations, foreign qualifications, cancellations of certificates
* Prepare standard bank account forms for commercial accounts
* Prepare standard tax forms (W-9 and W-8)
* Review fund director services agreements against templates and procure signatures
* Prepare short-form LLC agreements and fund subscription agreements
* Prepare share certificates and promissory note
* Redact documents (using Adobe Professional)
* Prepare and update structure charts
* Draft certifications, attestations, resolutions
* Maintain corporate minute books
* Assist with liquidation of corporate entities

Qualifications

* Bachelor's degree required
* Minimum of one year of paralegal experience, preferably as part of a corporate or transactional practice
* Paralegal experience relating to hedge funds, alternative asset firms and/or investment companies is not required but is a significant plus
* Technical proficiency with Microsoft Office Suite and Adobe Professional
* Excellent writing and verbal communication skills
* Ability to deal with high pressure situations, seek out solutions and work with others to resolve problems in a timely and effective manner
* Ability to exercise a high level of discretion, motivation, and independent judgment
* A curious mind with the ability to organize documents and focus on detail in an intellectually rigorous and fast-paced environment
