Position Title: Senior Corporate Paralegal

Reports To: Sr. Corporate Counsel and Asst. Corporate Secretary

Department: Legal

FLSA Status: Non-Exempt

Purpose: The Senior Corporate Paralegal will assist the Office of General Counsel in addressing all daily facets of corporate law with focus on governance and contract support.

Supervisory Responsibilities:

Degree of Supervision Received: Extensive

Supervision Received (title): Sr. Corporate Counsel and Asst. Corporate Secretary

Essential Functions:

* Draft corporate agendas, minutes, resolutions, and meeting materials
* Organize and maintain legal and corporate files, policies, and procedures
* Support the review and management of company contracts
* Draft business entity and governance materials, non-disclosure and other agreements, correspondence, memoranda, and other documents
* Respond to requests for information pertaining to legal, governance, and corporate records
* Perform routine legal and factual research
* Demonstrate the standards and principles of the Five Star Bank experience in every interaction with internal and external customers, associates, and stakeholders. Incorporate the high-performance behaviors of teamwork, leading by example, and service in every facet of work.

Job Related Qualifications - Education and Prior Experience:

Required:

* Education: Associate degree in any subject from an institutionally accredited school
* Prior Experience: 7+ years of Paralegal Experience in Corporate setting
* Licenses or Accreditation: Certified Paralegal.

Preferred:

* Education: Bachelor's Degree in Legal or Business Administration
* Prior Experience: 10+ years of Paralegal Experience in Corporate legal setting.
* Licenses or Accreditation: Certified Paralegal.

Competencies:

* Proficiency using virtual data rooms to upload and organize documents
* Proficiency in Microsoft Office Suite especially Word, Excel, and PowerPoint
* Strong written and verbal communication skills
* Superb attention to detail and organizational skills
* Strong research and analytical skills
* Ability to multitask a high volume of work

Physical Requirements:

* Able to regularly sit for prolonged periods of time.
* Able to regularly stand for prolonged periods of time.
* Extensive computer usage is required.
* Ability to work:
* Evenings
* Occasionally


* Weekends
* Occasionally
