Preferred Responsibilities

We are seeking an experienced individual with strong securities law and corporate transactions experience to join our Legal team in either our Boston or Philadelphia office. The successful candidate will have extensive experience counseling public life sciences and/or biotech companies. Experience advising on complex transactions is preferred. This position will work extensively with members of the Company’s legal, finance, and investor relations teams.

Position Responsibilities:
  1. Provide primary legal support for public company reporting and SEC compliance.
  2. Provide advice regarding securities law disclosure/compliance, including Annual Reports, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, SEC registration statements, the annual meeting proxy statement, and the annual meeting of stockholders.
  3. Provide legal advice and counseling with respect to equity-based compensation plans, executive compensation matters, and Section 16 reporting.
  4. Provide securities law advice and compliance guidance for earnings releases, investor materials, management presentations, and other communications.
  5. Provide training on various corporate policies, including insider trading and Regulation FD.
  6. Manage and provide guidance on Madrigal’s internal processes for employee equity.
  7. Assist with providing legal support to the Board of Directors and Board Committees, which includes advising on substantive legal matters, developing meeting agendas, and preparing materials for Board/Committee meetings.
  8. Assist with the corporate secretary function and various other corporate secretarial matters.
  9. Provide legal support on financing matters.
  10. Advise on other legal matters that arise across various functions within the company.
  11. Manage outside counsel as needed in connection with executing above responsibilities and duties.

Qualifications and Skills:
  1. Juris Doctorate and admission to a state bar (or eligibility for in-house counsel admission).
  2. 7-10 years legal experience across life science companies and large law firms.
  3. Demonstrated expertise in corporate governance matters and SEC compliance required.
  4. Demonstrated expertise and experience providing legal advice for complex transactions, license agreements, or collaborations is strongly preferred.
  5. Outstanding communication and interpersonal skills, with strong ability to communicate across various functions.
  6. Exceptional judgment and interpersonal skills.
  7. Capacity to simultaneously handle a variety of complex legal matters with minimal guidance.

Compensation:
Base salary is determined by several factors that include, but are not limited to, a successful candidate's qualifications, skills, education, experience, business needs, and market demands. The role may also be eligible for bonus, equity, and comprehensive benefits, which include flexible paid time off (PTO), medical, dental, vision, and life and disability insurance.
