Assistant General Counsel - Petaluma, CA

We are seeking a highly skilled and experienced Assistant General Counsel to join our legal team. This role will provide legal expertise across a variety of complex legal matters including contract law, civil law, labor law, tort law, and administrative law. The Assistant General Counsel will support the General Counsel in managing the District’s legal affairs, offering guidance on critical issues, preparing legal documents, and representing the District in court and other proceedings.

Key Responsibilities:
  • Litigation & Legal Counsel: Represent the District in complex legal proceedings, including litigation, arbitration, and administrative hearings. Provide expert legal advice to District staff and Board of Directors across multiple areas of law, including tort law, contract negotiations, land use, labor relations, CEQA, and public records laws.

  • Legal Research & Documentation: Conduct thorough legal research on a variety of issues, preparing detailed legal opinions, briefs, motions, and pleadings. Manage and prepare documentation for court cases, including depositions and trial proceedings.

  • Legal Agreements & Contract Review: Draft and review various legal documents such as contracts, leases, memoranda of understanding, resolutions, and other related materials. Evaluate the legal implications of proposed contracts and ensure compliance with applicable laws and regulations.

  • Government Liaison & Policy Development: Act as a liaison between the General Counsel’s office and other departments, external agencies, contractors, and community organizations. Provide legal counsel during policy development, recommending and drafting policies and procedures related to District operations.

  • Regulatory Compliance & Title VI Coordination: Ensure the District complies with Title VI regulations, respond to complaints, and implement necessary policies. Act as the District’s Title VI Coordinator, including training staff on related matters.

  • Supervision & Staff Support: Oversee and mentor legal staff, providing guidance and support in handling legal research, drafting documents, and managing legal cases. Assist in managing external legal counsel as necessary.

  • Claims Management & Risk Resolution: Assist in handling claims, reviewing the District’s insurance policies, and managing claims files. Provide legal advice to resolve customer inquiries and ensure smooth dispute resolution processes.

  • Monitoring Legal Changes & Reporting: Stay updated on changes in laws, regulations, and judicial rulings that may impact the District’s operations. Prepare reports and presentations on legal matters for management and the Board of Directors.

Education and Experience:
  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Experience: A minimum of five (5) years of progressively responsible experience in practicing civil and contract law, preferably in a public agency or law firm setting. Experience in the transit industry is a plus.

Licenses and Certifications:
  • Active membership in good standing with the State Bar of California.
  • Eligible for admission to the Federal District Court for the Northern District of California.
  • Possession of a valid California Class C driver’s license (must be maintained throughout employment).
Knowledge, Skills, and Abilities:
  • Legal Expertise: Extensive knowledge of contract law, labor law, tort law, environmental law, real estate law, and administrative law as applied to public agencies.
  • Regulatory Compliance: Familiarity with federal, state, and local laws and regulations, including those enforced by the California Public Utilities Commission, Federal Transit Administration, and Federal Railroad Administration.
  • Court Procedures & Legal Research: In-depth understanding of state and federal court procedures, including the preparation and filing of legal documents. Proficiency in legal research methods.
  • Risk Management: Strong knowledge of risk management processes, including claims handling and insurance policies.
  • Policy Development: Ability to draft, review, and recommend internal policies, procedures, and regulations that align with the District’s goals and legal obligations.
  • Communication Skills: Excellent verbal and written communication skills, with the ability to draft clear legal opinions, reports, and correspondence, and to communicate effectively with various stakeholders.
  • Leadership: Capable of managing legal staff, providing mentorship, and coordinating with outside legal counsel as needed.

Working Conditions:
  • This position is based in Petaluma, CA, with occasional travel to meetings and court appearances.
