JOB DESCRIPTION

The Real Estate Associate Attorney is primarily responsible for accurately preparing, organizing and filing legal and title documents, and generally assisting lead attorneys on closing various real estate transactions. Duties and responsibilities include, but are not limited to, the following:

  • Prepare and review various agreements, contracts, and other documents.
  • Draft documents such as contracts, lease agreements, purchase and sale agreements, and mortgages.
  • Proofread and verify factual elements (e.g., names, addresses, signature blocks, loan amounts, etc.) in both internal and third-party documents.
  • Research and interpret existing laws, regulations, and case law, including anticipated changes to any of these, to guide informed decisions and reduce risk.
  • Draft new contracts and amend existing agreements to protect clients’ interests.
  • Assemble clients’ diligence submission packages for investors, lenders, and state agencies (e.g., OHFA, HUD, USDA, etc.).
  • Prepare, file, and record documents with courts, counties and other governmental offices.
  • Meet with clients to gather information, understand their needs, and advise them on real estate legal matters.
  • Assist lead attorney in overseeing and managing real estate closings, while taking responsibility for discrete items, such as resolutions, opinion certifications, or organizational documents.
  • Orchestrate, gather and prepare clients’ due diligence materials, such as secretary of state filings, good standing certificates, officer certifications, etc.
  • Coordinate with other parties (e.g., state agencies, lenders, title companies, or opposing counsel) to respond to diligence requests and help ensure that transactions close on time.
  • Organize and archive client files on company server, and update project closing boards as necessary.
  • Track hours in timekeeping system.

 

REQUIRED SKILLS AND EXPERIENCE

  • Knowledge of state and federal laws regarding transfer and sale of real property.
  • Experience working on commercial real estate transactions.
  • Basic understanding of business organizational structures (e.g., partnerships, limited liability companies, and corporations) and the documents governing their formation and operation.
  • Strong desire to master relevant substantive areas of the law.
  • Excellent project management and organizational skills with exceptional attention to detail.
  • Strong research, analytical and problem-solving skills.
  • Outstanding verbal and written communication skills.
  • Able to work independently in a fast-paced work environment.
  • Excellent time management skills with proven ability to meet deadlines.
  • Ability to balance competing project deadlines and allocate resources accordingly.
  • Analytical thinker with strong conceptual and research skills.
  • Proficient with Microsoft Office Suite, Excel, and other related software programs.

 

EDUCATION AND EXPERIENCE

  • Minimum 3 years’ relevant legal experience and adequate industry knowledge; exposure to affordable housing valued.
  • Experience in title insurance underwriting, curative, and claims preferred.
  • Juris Doctor from accredited law school.
  • Active license to practice law in Ohio, or ability to obtain within 6 months of employment; additional state licenses – especially New York and Delaware – a plus.


PHYSICAL REQUIREMENTS

  • Prolonged periods sitting at a desk, typing on a keyboard, viewing computer monitor(s) and talking on a telephone with or without a headset.
  • Must be able to lift up to 15 pounds at times.
  • Occasional evenings and weekends, particularly during project closings.
