SUMMARY

The General Counsel serves as the chief legal advisor to the organization, providing strategic legal guidance and ensuring compliance with all applicable laws and regulations. This role involves overseeing the organization’s legal affairs, managing legal risks, and supporting business operations with expert legal counsel.

Essential Duties and Responsibilities include the following but are not limited to:

Legal Counsel and Advice
  • Provide strategic direction and leadership to senior management and the board of directors.
  • Provide legal advice to senior management and the board of directors on various matters, including corporate governance, compliance, and risk management.
  • Review, draft, and negotiate contracts and agreements to protect the organization’s interests.
Compliance and Risk Management
  • Ensure the organization complies with all relevant laws, regulations, and internal policies.
  • Develop and implement compliance programs and training initiatives.
  • Provide legal analysis, interpretations, and recommendations in compliance with policies and law.
  • Obtain peer review on documents.
Litigation Management
  • Oversee and manage any litigation or disputes involving the organization, coordinating with external legal counsel as necessary.
  • Represent the organization in legal proceedings, negotiations, and settlements.
  • Provide advice on a range of legal matters within the business, from governance, contracts, regulatory compliance, and intellectual property to employment law and litigation.
Contract Department
  • Oversee the contracts department, ensuring full compliance with company risk management parameters.
  • Coordinate with the Contracts Manager on all external/internal damage claims.
  • Handle disputes related to contracts, including negotiations, mediations, and potential litigation.
  • Conduct training sessions for staff on contract management processes and legal obligations.
  • Review, draft, and negotiate contracts.
Corporate Governance
  • Support the board of directors and its committees in meeting legal and regulatory requirements.
  • Assist in preparing meeting minutes, resolutions, and other corporate documentation.
  • Advise the board of directors on best practices, developing and enforcing company policies, and educating the board on different general counsel strategies and ethical policies.
Policy Development
  • Develop and update company policies to reflect legal standards and best practices.
  • Advise on employment law issues, including employee relations, hiring, and termination practices.
Stakeholder Engagement
  • Collaborate with internal stakeholders to address legal issues and provide guidance on business initiatives.
  • Maintain relationships with external legal advisors and regulatory bodies.
Required Education and/or Experience
  • Minimum of 5 years of experience as legal counsel in a fast-paced atmosphere, preferably in the construction service industry.
  • Active bar admission in Oregon; multiple state admissions preferred.
  • Excellent organizational skills, time management, and creativity, performed in an on-site work environment or office enrichment.
  • Excellent verbal communication, negotiation, and interpersonal skills with exceptional written communication skills.
  • High proficiency in MS Office products, SAP, and Wright Plan or similar software.
  • Strong understanding of corporate governance, compliance, and regulatory issues.
  • Ability to manage multiple priorities and meet timely deadlines is a must.
QUALIFICATIONSLanguage Skills

Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the public.

Mathematical Skills

Must have mathematical skills equivalent to those required by the degree earned or years of experience.

Reasoning Ability

Ability to define problems, collect data, establish facts, and draw valid conclusions; to interpret, understand, and apply standard operating procedures.
