Overview

We are hiring a dynamic international commercial attorney to join MPS Global Legal team as its first Legal Counsel-Europe, to support our rapid expansion in Europe and global, team-wide initiatives. The ideal candidate will possess strong law firm and in-house experience in corporate, intellectual property, commercial contracts, and employment matters.

This position is in Barcelona, Spain. The position will provide general and corporate support for our business and operations across multiple locations in Europe.

Under the guidance of the General Counsel's office, you will execute a variety of corporate matters. You will leverage your knowledge, and general operations experience to partner with leaders, managers, and teammates across organizational boundaries and functions. This position will enjoy a high degree of autonomy and need to be able to work independently.

The successful candidate will be ready to navigate a growth-oriented, rapidly changing, and sometimes ambiguous environment. This person will be comfortable juggling multiple tasks under tight deadlines and must be a strong writer and communicator.

Responsibilities

  • Responsible for supporting legal issues of the company’s regional office, including compliance, corporate and labor laws, M&A, local and international law, data protection and privacy laws, and general civil law.
  • Manage legal entity formation, registration, qualification, and related filings with our third-party vendors and outside counsel.
  • Engage in contract drafting, reviewing, and negotiating with vendors, critical suppliers, partners, and customers.
  • Assist with labor/employment law matters and develop corporate policies and procedures.
  • Proactively work with engineering teams to identify their innovations' patentable aspects and secure the associated invention disclosures.
  • Use excellent business judgment to assess legal risk while also thinking strategically and providing practical, business-oriented advice.
  • Manage outside counsel and other advisors on a variety of matters.
  • Organize and maintain regional corporate, commercial, and regulatory records.
  • Support transactional closings, including preparing closing checklists, drafting closing documents, and repairing and tracking internal approvals.
  • Serve as a thought leader to improve and simplify processes, drive standardization and organization, and build scalable solutions.
  • Align and collaborate across various business and legal teams from different regions, including with HR, IP, engineering, and business groups.
  • Develop/Assist with and execute global initiatives to support MPS.
  • Manage wide-ranging issues such as data usage/privacy, intellectual property,
    compliance, regulatory, and tax by partnering with subject matter experts in
    these areas and other stakeholder teams.
  • Develop and provide corporate training on ethics and IP protection issues.
  • Provide backup support to other colleagues on the legal team as needed.

  • Report any suspected information security violation or breach.

Qualifications

  • Law degree from a reputable university and licensed to practice law in the UK, Germany, Netherlands, Spain or Portugal. Engineering degree a plus but not required.
  • Fluent in English + additional western European language beneficial.
  • Solid transactional training and experience (preferably from a highly reputable law firm) and in-house experience for a technology company preferred.
  • Must have strong drafting and negotiations skills with the ability to
    manage complex issues and deal structure.
  • Ability to manage, perform and enjoy highly repeatable and high-volume work in addition to strategic and unique issues.
  • Must be pragmatic, solutions-oriented, business-friendly, creative, an advocate for the business, and “can do” attitude.
  • Must have leadership skills in bringing different perspectives together and
    work through competing priorities.
  • Must be able to work independently and collaboratively, including with our
    global colleagues, but also take direction from the manager and other team members, as appropriate.
  • Must multi-task effectively in a fast-paced team environment with
    short turnaround times.

Must have strong writing and communication skills.

  • Must be a team player and willing to take on responsibilities and roles that support cross functions.
  • Comfortable juggling multiple tasks under tight deadlines.
  • Experience in drafting, reviewing, and negotiating cross-border commercial and licensing contracts with multi-national companies
