Due to company growth, W&T Offshore seeks to add Legal Counsel to our legal team in Houston, TX (Galleria area). Serving as a corporate generalist, the Corporate Counsel will support the Acting General Counsel and have 2-4 years of experience with a wide variety of corporate matters, including reviewing, drafting, and negotiating commercial contracts and handling legal matters involving compliance, regulations, governance, finance, employment, and others.

FULL TIME/PART-TIME: Full-Time

SCHEDULE: M-T, 9 hours (in-office)/F, 4 hours (remote)

FLSA STATUS: Salaried – Exempt

PRIMARY RESPONSIBILITIES:

  • Draft, review and negotiate a wide range of commercial documents with respect to oil and gas businesses, such as master service agreements, confidentiality agreements, boarding agreements, drilling contracts, operating agreements, owner’s agreements, surface agreements, easements, and leases.
  • Support the midstream and marketing business group, including through review and negotiation of transportation agreements, gathering agreements, processing agreements, NAESBs, discount agreements, gas buyback agreements, operating and maintenance agreements, and other midstream and marketing agreements.
  • Provide general legal support related to issues arising in connection with operations and production and midstream and marketing.
  • Assist with oversight of a wide range of litigation matters in coordination with outside counsel, including assisting with discovery, arbitrations, mediations, and courtroom appearances.
  • Support mergers and acquisitions initiatives as needed.
  • Research, analyze, and keep current on legal issues and laws, legislation, regulations, and court decisions affecting the oil and gas industry, with an emphasis on offshore operations in the Gulf of Mexico.
  • Demonstrate the ability and willingness to work under time-sensitive deadlines, increase efficiencies for handling a significant volume of documents, and be productive in fast-paced environments with multiple competing priorities.

KNOWLEDGE, EDUCATION & EXPERIENCE:

  • J.D. required
  • Broad commercial experience with exposure to litigation preferred
  • Bar admission in the State of Texas in good standing
  • Requires 4+ years of legal experience
  • Ability to think critically, solve problems independently, and exercise excellent judgment and common sense
  • Exceptional oral and written communication and legal research skills
  • Highly organized and detail-oriented but able to also pull back and be strategic/conceptual
  • Ability to effectively work with and manage outside counsel
  • Able to multi-task in a fast-paced environment
  • Self-starter

PHYSICAL REQIREMENTS:

  • Requires prolonged sitting, some bending and stooping.
  • Manual dexterity is sufficient to operate a computer keyboard and calculator.
  • Occasional lifting up to 10 lbs.
