Job DescriptionJob DescriptionOur Client, located in downtown Houston, has an excellent opportunity for a Restructuring Paralegal working heavily with our distressed debt trading group in any of our US offices.Responsibilities: ·Assisting working with ClearPar, and drafting of all LSTA documents including Purchase and Sale Agreements, Assignment Agreements, Master Participation Agreements and Netting Agreements·Work on claims trading and equity transactions·Work with litigation financing clients and drafting documentation related to same·Research debtor's company background to identify officers, directors, major creditors, major litigation, other assigned matters.·Review Local and Federal Bankruptcy Rules, as well as administrative orders, to assure that filings are in proper form and order.·Utilize PACER to prepare electronic filing of pleadings.·Review cite form in pleadings for completeness and accuracy in accordance with Blue Book.·Assist with the production of debtor's petition, schedules and statement of financial affairs, 20 largest unsecured creditors, equity holders, and related first day filings.·Draft pro hac vice for attorneys not admitted to the bar in the state of the court proceeding.·Craft notices of stay in various pending litigation involving the debtor.·Assist with drafting complaints and related pleadings, including discovery, in connection with various adversary matters.·Conduct Uniform Commercial (UCC) searches and real property searches to confirm status of liens on property and/or equipment.·Examine and, if necessary, obtain public records relevant to facts of lawsuit.Job Requirements:·A bachelor's degree or comparable work experience is required. A paralegal certificate from an ABA approved program is preferable but not required.·Working knowledge of US Bankruptcy Code and the court procedures, Delaware General Corporate Law, New York Business Corporate Law, and California Corporations Code.·An understanding and previous application of the local rules regarding bankruptcy administrative filings.·Ability to prioritize and organize multiple tasks in a dynamic working environment.·Strong time management skills, and a desire to work in a dynamic, collaborative environment are essential.·Be attentive to details, have flexibility with your work schedule and have demonstrated excellent verbal and written communication skills.·Excellent computer skills including proficiency in Microsoft Office.·Licensure as a Notary Public, preferred but not required.
