Job DescriptionJob DescriptionThe Sullivan Brothers Family of Companies (SBFC) is a growing enterprise that builds, operates, and invests in industries and businesses that work daily to transform communities and improve individual lives. The Associate Counsel will operate as part of SBFC’s in-house legal team to support various SBFC business entities.

Responsibilities:

  • Develop, evaluate, and negotiate contracts on non-disclosure, consulting agreements, master service agreements, professional service agreements, subcontract agreements, and other commercial documents for business units in various industries, primarily involving construction services and government contracting.
  • Oversee and assist with ongoing company compliance in connection with government contracts.
  • Collaborate with cross-functional teams to develop and implement legal strategies that protect SBFC interests and further SBFC business objectives.
  • Manage and maintain internal client relationships, providing exceptional service and ensuring satisfaction with the legal team.
  • Stay informed of legal, regulatory, and industry developments that may impact SBFC operations and advise accordingly.
  • Contribute to the development and improvement of SBFC policies, procedures, and best practices to ensure the highest level of client service and operational efficiency.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to practice law in Texas (active and in good standing).
  • A minimum of 5-7 years of experience as a practicing attorney, with significant transactional and construction experience.
  • Familiarity with public procurements and contract negotiation experience, including bidding processes, and knowledge of the legal framework applicable to government contracting.
  • Ability to work closely with procurement and capture teams on new projects, and experience drafting, reviewing, and negotiating a variety of types of contracts, including construction contracts, staffing agreements, contracts for equipment, materials, and supplies, and agreements for professional services, such as design professionals and construction management services.
  • Upstream, midstream, and downstream energy services experience would also be of interest.

  • Ability and availability to work in various SBFC offices in Houston, TX and Galveston, TX.
  • Demonstrated ability to manage complex transactions with minimal supervision, including experience leading negotiations and coordinating teams of professionals.
  • Excellent legal research, writing, and analytical skills, with a strong attention to detail and the ability to communicate complex legal concepts clearly and effectively.
  • Strong interpersonal skills, including the ability to develop and maintain client relationships and work effectively in a team-oriented environment.
  • Proven ability to work well under pressure and manage multiple priorities in a fast-paced environment.
