The Outside General Counsel Solution™ is designed to provide affordable, high-quality legal services by providing a virtual law department to early stage and mid-market companies that do not have their own inhouse legal team. Position Overview:We are seeking a highly motivated and experienced Associate Attorney to join our corporate and transactional team. The ideal candidate will have a minimum of 5 years of relevant experience and a strong background in corporate law, mergers and acquisitions, and transactional matters. As an integral part of our team, you will work closely with clients, partners, and other team members to provide legal advice, draft legal documents, and contribute to the successful execution of client transactions.Responsibilities:
  1. Client Counseling: Provide legal advice and strategic guidance to clients on a wide range of corporate and transactional matters.
  2. Transaction Support: Assist in the negotiation, structuring, and execution of mergers and acquisitions, joint ventures, and other corporate transactions.
  3. Document Drafting: Prepare and review legal documents, including contracts, agreements, and corporate governance documents.
  4. Due Diligence: Conduct due diligence reviews and assessments to identify potential legal issues and risks.
  5. Legal Research: Stay current on relevant legal developments and conduct research to support client matters.
  6. Compliance: Ensure clients' compliance with applicable laws, regulations, and industry standards.
  7. Client Communication: Maintain regular communication with clients to provide updates on matters and address any concerns.
  8. Collaboration: Work collaboratively with partners and team members to deliver high-quality legal services and meet client expectations.
Qualifications:
  1. Juris Doctor (JD) degree from an accredited law school.
  2. Active bar membership in good standing in NJ, NY or PA.
  3. Minimum of 5 years of experience in corporate and transactional law experience in a reputable law firm.
  4. Strong analytical, research, and problem-solving skills.
  5. Excellent written and verbal communication skills.
  6. Ability to work independently and as part of a team.
  7. Attention to detail and a commitment to delivering high-quality work.
  8. Strong organizational and time management skills.
