Summary of Responsibilities

As Associate Corporate Counsel, you will assist the Director of Legal with overseeing the commercial contract negotiation and management needs for the Company. This role will have a high level of autonomy from day one and will play a crucial role in supporting the Company’s strategic objectives by identifying and advising of risks related to commercial contracts and providing pragmatic solutions to address the identified risks in line with business needs.

Primary Responsibilities

  • Contract Drafting and Negotiations: Draft, review, and negotiate a variety of commercial contracts, including but not limited to, customer and supplier agreements, distribution agreements, sales representative agreements, non-disclosure agreements, and purchase order terms and conditions.
  • Legal Advisory: Provide actionable, practical legal advice that aligns with business objectives to internal clients, including Sales, Procurement, Operations, Human Resources, Finance, and IT.
  • Contract Management: Develop, implement, and maintain processes for effective contract management, from inception through execution, to ensure alignment with company policies, regulatory requirements, and business objectives.

Essential Skills and Requirements:

  • Ability to communicate effectively and establish relationships with internal and external stakeholders at all levels.
  • Capable of translating complex legal issues into understandable and manageable terms for non-legal stakeholders.
  • High attention to detail and ability to multi-task and prioritize responsibilities.


Typical Training/Experience Required:

  • 2-4 years of experience as a practicing attorney, preferably with in-house experience.
  • JD degree from an accredited law school required.
  • Active state bar membership required.
