The Corporate Real Estate Counsel will provide legal services in support of real estate, construction and lease administration projects, including those relating to development of new locations, acquisitions and divestitures of existing locations across the southeast. 



RESPONSIBILITIES

  • Prepare and negotiate new, amendments and related documentation.
  • Prepare and negotiate real estate purchase & sale agreements and consummation of the transactions contemplated therein.
  • Oversee preparation of closing documents, SNDA’s, easement agreements and other documents needed in the ordinary course of lease administration.
  • Provide advice and counsel to support administration, real estate development, and construction efforts.
  • Ensure that standard forms of real estate legal documents are updated as necessary/desirable to reflect current best practices.
  • Provide legal support general corporate/miscellaneous matters as needed (e.g., review of vendor contracts, non-disclosure agreements, etc.).
  • Review title commitments and surveys and resolve title problems.
  • Develop and Record HOA Documents
  • Handle basic pre-litigation matters
  • Coordinate any claims with insurance carriers' counsel
  • Have the ability to establish and operate a title and closing firm


EDUCATION AND EXPERIENCE QUALIFICATIONS

  • Juris Doctor degree from an accredited U.S. law school.
  • Licensed (in good standing) to practice law in the United States, preferably in the State of Georgia (Alabama and Florida)
  • Four (4) or more years of practice in a law firm or corporation representing public and/or private companies with respect to complex commercial real estate transactions. Law firm experience preferred.


REQUIRED KNOWLEDGE, SKILLS OR ABILITIES

  • Detailed knowledge of, and competence in advising clients with respect to, Residential real estate transactions, with emphasis on new home construction and development.
  • Extensive experience in drafting and negotiating definitive agreements and related documents customary in real estate acquisitions and divestitures, including asset purchase and sale
  • Experience running a real estate deal from start to finish without much supervision.
  • Experience analyzing, interpreting, and clearly communicating legal strategies and requirements to/for non-lawyer colleagues.
  • Experience working effectively within a team of legal and non-legal professionals.
  • Home Builder industry experience preferred.
