Frost Brown Todd LLP, a national law firm of 1000+ legal and business professionals in sixteen offices, is currently seeking a Corporate Paralegal to join our firm. Candidates should have excellent written and verbal communication skills, strong organizational skills, attention to detail and a teamwork focus.

This position can be filled in Cincinnati, OH; Columbus, OH; Indianapolis, IN or Nashville, TN.

Job responsibilities include:

• Drafting documents for financing and other commercial transactions.

• Conducting and summarizing entity organizational documents and due diligence.

• Updating deal checklists and keeping track of all due diligence.

• Drafting and preparing organizational documents for entities.

• Preparing stock certificates, stock powers, and other stock transfer documents.

• Preparing officer certificates and resolutions.

• Coordinating searches in state and county jurisdictions for state/federal tax liens, UCC filings, judgments, outstanding litigation and similar items.

• Reviewing and summarizing search results.

• Preparing and filing UCC and mortgage releases and similar documents.

Job Requirements:

• Bachelor's Degree and/or paralegal certificate required.

• 3+ years of paralegal experience

• Experience with general corporate paralegal work, such as corporate filings, UCC searches, minute books. Experience with loan transactions is recommended.

• Proficiency in Microsoft Office, including Outlook, Excel and Word

• Strong communication skills – both verbal and written.

• Extraordinary attention to detail and strong organizational skills.

• Comfortable performing repetitive tasks.

• Ability to work well under tight deadlines, prioritize, and multi-task when needed.

• Ability to work individually or in team environment.
