This remote position will be responsible for global legal counsel and leadership to manage legal risk throughout the SRS organization across all businesses, regions and functions of the company.  General Counsel will report to the President of the company and will be a member of the Executive Committee.  He/she shall serve as the Secretary to the Board of Directors of the company.  General Counsel will work with senior management to ensure that business unit leaders receive effective and timely advice with respect to company strategies, business operations, legal and regulatory matters, formation of new entities, and acquisitions.  Performance in this role will be closely tied to achieving defined compliance, risk and quality goals for the company.
 Responsibilities and DutiesSRS is a boutique professional services firm with operations in the US, Barbados, Bermuda, Canada, Cayman Islands, South Africa and several countries in Europe.

The essential duties and responsibilities of the General Counsel shall include:
  • Serve in the capacity as strategic business counsel to the CEO, President and leadership team, working alongside them to grow and evolve the business of the company.
  • Contribute as a senior executive to the broader leadership of the business.
  • Provide legal research, analysis, and legal advice on issues relating to business operations. 
  • Advise Board of Directors on issues of governance.
  • Lead the Risk and Compliance Committee of the Company.
  • Act as head of Compliance having all senior compliance employees in all domiciles reporting to this position, and advise on compliance matters including reporting requirements for data breaches and filing requirements with insurance regulators.
  • Oversee and advise the company regarding applicable legislative and regulatory matters.
  • Perform and manage corporate secretarial duties to include coordination and attending board and committee meetings (including as a member and/or officer thereof), drafting of minutes; preparing notices, resolutions, consents and other documents, maintaining corporate records in an orderly fashion; the proxy solicitation process, and other corporate events.
  • Draft, review, and negotiate contracts and other legal documentation related to the company.
  • Participate in formulating and administering company policies and developing long range goals and objectives.
  • Oversee litigation matters affecting the company.
  • Coordinate communication with external counsel and the majority shareholders general counsel.
Attributes and Skills
  • Minimum of Juris Doctor degree with at least 4+ years of post-qualification legal experience in the financial services or professional service industry.
  • Prior in-house or law firm experience.
  • Regulatory and Compliance law experience.
  • Corporate transaction experience in a business development leadership position within the financial services or professional services industry.
  • Experience in a multinational setting. Must recognize the cultural differences in business outside of the United States working with local management and local legal counsel.
  • Prior experience in the captive insurance industry or alternative risk industry a plus
