Job Summary

Support General Counsel by providing day to day legal advice across all legal focus area matters including Contract Negotiations, Regulatory Compliance, Employment, Corporate Governance and Secretarial Duties, Risk Management, Legal Operations, Litigation Management, Intellectual Property Management, and M&A.A generalist that must thrive in a fast-paced environment with the ability to manage numerous projects simultaneously, under deadline pressure and often with limited supervision. Key Responsibilities:
oGeneral - Counsel business clients on a full range of legal issues, including contract negotiations, advertising and marketing claims, regulations and compliance, product safety, antitrust, and product packaging and labelling.oNegotiate and Draft Commercial Agreements - Draft, review and revise, contracts, complex and non-complex, with customers, distributors, suppliers, and service providers. Using company precedent, templates, legal research and personal judgment, negotiate key agreements in collaboration with internal business clients and issue spot and advise on the impact of terms. Coordinate contract execution and track post-signing matters.oSupport Disputes and Claims - Proactively assist business clients in mitigating business risk, managing early-stage disputes, and developing proposals for resolution. Work with General Counsel and outside counsel as needed.oReview Marketing Materials and Promotions - Educate and train internal business clients on marketing and competition law requirements associated with sales activity, advertising, contests and promotions, and social-media based consumer marketing. Review marketing claims associated with the company's products. Educate and train on marketing and competition laws.oLegal Operations - Assist in the development, implementation and updating of legal and corporate processes, policies and form documents, including through third party providers and software.
Secondary Responsibilities:
oEmployment - Assist the General Counsel and Human Resources department in the management and handling of labor and employment matters which may include, employee complaints and state agency claims, local employment law interpretation, drafting and enforcing employee polices, employee benefits, employment agreements and employee separation matters.oCorporate Governance and Secretarial Duties - Provide assistance to General Counsel on corporate governance matters including preparation for Board meetings, drafting corporate resolutions and minutes, and prepare, manage and implement corporate governance policies.oRisk Management - Support the company's risk management function, including assisting in processing insurance claims and working with insurance coverages of the company and third parties to conduct assessments to define and analyze possible risks.oLitigation Management - Work with outside counsel to handle litigation matters at direction of General Counsel.oIP Management - Interface with intellectual property counsel and internal business partners to facilitate applications and registrations for patents and trademarks and maintaining the patent trademark portfolios.oM&A - Provide support for M&A transactions, including planning and assisting in due diligence, drafting and negotiating ancillary deal agreements, and assist in managing deal process and execution.oMiscellaneous - Assist in company special projects and initiatives and all other duties and tasks, as assigned.Professional Requirements:
o5-8 years of relevant legal experience, with specific emphasis on contract negotiation and analysis and management of contractual risk. oSuperior level of legal skill, knowledge and competence in a robust range of areas.oHands-on legal professional possessing outstanding technical, analytical skills, communication and influencing skillsoProven maturity level / presence with senior executives, good presentation skillsoPotential for professional progression and developmentoA Law Degree from an ABA Accredited law school.oLicensed to practice in at least one state and ability to obtain licensure in the State of South Carolina.
Highly Desired Attributes:
oIn-house experience strongly preferredoLarge firm experienceoProduct Manufacturing and/or Consumer Product industry background.oEmployment law experience
Physical Requirements
oSitting at workstation approximately 85 (eighty-five) percent of work time. oStanding and walking approximately 15 (fifteen) percent of work time.oAbility to work overtime or occasionally on weekends with short notice.oTypical office environment with shelves overhead and above work surfaces.
