Position Overview:The Manager of Contracts Administration and Confirmations at Aramco Trading Americas (ATA) holds accountability for both the contracts and confirmations team respectively. These two groups are a critical function in the organization to ensure our ability to leverage short to medium term commercial trading opportunities. The incumbent will be expected to have knowledge and proficiency in the skills of negotiating master enabling agreements such as NAESBs, LEAP, LEAP/RINs, ISDAs, term and spot purchase and sales contracts, and experience drafting and negotiating domestic and international logistics agreements.Responsibilities:Lead and oversee the drafting, negotiating, and reviewing new contract provisions directly with internal stakeholders and external counterparties.Analyze non-standard contracts, identifying associated risks, and collaborate with various teams to reach agreement on terms.Ensure accuracy of agreements, advocating for adherence to ATA’s standard form agreements to mitigate risks.Directly negotiate Master Agreements, framework agreements, and side letter agreements with third parties.Oversee and manage established KPI metrics for both teams to ensure monthly goals are met.Collaborate with contract analysts and Senior Management on contract analysis and negotiation.Maintain regular communication with commercial and trading teams, staying informed of transaction status and special conditions.Provide mentorship to team members, facilitating their learning and development in contract processes.Draft, negotiate and review new contract provisions directly with internal stakeholders and external counterparties.Interpret key elements of non-standard contracts and analyze the risks associated with requested changes to clauses in ATA standardized agreements and/or counterparty Agreements. Interface with commercial and functional support teams to reach consensus on terms, including Legal, Credit, Regulatory Compliance, Marine, Risk and Insurance, and Tax departments.Ensure agreements accurately reflect the terms and conditions of related transactions, influencing where possible to limit changes to ATA’s standard form agreements to reduce risks.Meet tight deadlines and work under pressure in a dynamic environment with frequently changing requirements to optimize trading.Participate in regularly-scheduled contract prioritization meetings with commercial and functional support teams and communicate status of pending contracts.Ensure the Contracts records database (Apttus) is maintained and updated in a timely manner so that other departments (Legal, Credit, Commercial) and staff remain continuously apprised of contract negotiation status.Follow established company and departmental contract processes and procedures. Identify and suggest updates/improvements to procedures, as necessary. Ensure compliance with established ATA records retention policy.Experience and Qualifications Required:Minimum Qualifications:Bachelor’s degree in accounting, business or related fieldAdvance understanding of trading and energy commodities.Excellent written and oral communication skills, as well as strong reading comprehension, organization and analytical skills.5+ years managing teams of 5 or more professionals.Able to work under pressure and meet tight deadlines.Advanced Risk management/mitigation skills and sound understanding of internal control frameworks.Strategic perspectiveProject, change management and time management skillsAbility to work in an office environment located in downtown Houston, TXRequired Qualifications:JD or equivalent from an accredited university.New CLM implementation experience a plusNO THIRD PARTY CANDIDATES ACCEPTEDSummaryLocation: Houston, TX, United StatesType: Full TimeExperience: ExperiencedDepartment: Aramco Trading Americas
