Our client is a Private Equity Firm based in Beverly Hills. The Firm is hiring an M&A Finance, Senior Associate to join their Small Cap team. This hire will sit with the team on-site and report to the Head of M&A Finance.


Position Summary & Responsibilities:

  • Perform all facets of buy-side financial due diligence on prospective investments (preparation of analyses for quality of earnings, NWC, debt-like items, etc.), including analysis of financial and operational results of targets.
  • Manage buy-side and sell-side financial due diligence processes (e.g., prepare analyses for internal and external distribution, coordinate with internal stakeholders and external service providers, manage workplans, prepare information requests, monitor virtual data rooms, etc.).
  • Review deliverables prepared by external due diligence service providers (e.g., commercial, financial, insurance, legal).
  • Assist in preparing financial models for prospective investments and exits.
  • Participate in functional diligence meetings (commercial, operational, tax, legal, etc.).
  • Communicate due diligence key findings and observations to internal stakeholders.
  • Assist in negotiating the financial aspects of purchase agreements.
  • Help manage the closing of transactions (e.g., preparation of funds flow, coordinating with legal and tax departments, etc.).
  • Provide insights and recommendations for the integration of newly acquired companies into the fund’s portfolio or platform company.
  • Actively monitor the performance of portfolio companies by reading monthly financial and operational information, performing ad hoc analyses, and actively engagement with portco accounting teams.
  • Assist in preparing responses to periodic questions from lenders, ratings agencies, investors, and internal stakeholders.
  • Seek opportunities to increase enterprise value in portfolio companies.
  • Prepare sell-side financial due diligence analyses for potential exits.


Functional Skills for Role:

  • Experience with data analytics and business intelligence applications is preferred.
