Job Summary: The ideal candidate will be a skilled transactional attorney with a minimum of 3 years of relevant experience in real estate and business transactions. The candidate must be licensed to practice law in Texas and possess a strong understanding of Texas laws and regulations.
Key Responsibilities:
Real Estate Transactions:
- Represent buyers, sellers, and lenders in real estate transactions.
- Structure deals and provide strategic advice on complex transactions.
- Handle syndications and fund creation.
- Advise on alternative financing options.
Business Transactions:
- Assist with corporate structuring and governance.
- Ensure compliance with regulatory and administrative requirements.
- Manage mergers and acquisitions.
- Provide counsel on Reg A+, 504, 506(b), 506(c), REITs, 1940 Act, and the Investment Advisers Act.
- Facilitate entity formation.
- Review, create, and negotiate contracts.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in Texas.
- Minimum of 3 years of relevant experience in real estate and business transactions.
- Proven experience in deal structuring, syndications, and fund creation.
- Strong knowledge of corporate structuring, governance, and compliance.
- Familiarity with mergers and acquisitions, Reg A+, 504, 506(b), 506(c), REITs, 1940 Act, and the Investment Advisers Act.
- Excellent contract review, creation, and negotiation skills.
- Strong analytical and problem-solving abilities.
- Exceptional interpersonal and communication skills.
- Ability to work independently and as part of a team.
- High level of professionalism and integrity.
Preferred Skills:
- Experience with alternative financing.
- Knowledge of Texas-specific real estate and business laws.
