Job Description
- Administers and maintains law department projects, policies, procedures, and practices.
- Schedules and coordinates workload support of legal management activities.
- Performs research and analyzes information in response to legal issues.
- Reviews document requests and coordinates work assignments.
- Conducts training. Provides input, processes, and results for data management systems.
- Conducts interviews to gather background information and identify issues for legal review.
- Identifies and protects all oral and written communications.
- Reviews and recommends budget projections for outside counsel and vendors expenses.
- May lead practice group activities and deploy key messages in support of business managers.
Position Responsibilities:
Review, revise, and assess contract terms, Proprietary Information Agreements (PIAs) and other nondisclosure or non-sales agreements to identify key areas of concern and the business needs of the customer.
With little or no supervision from attorneys: draft, review and revise legal documents, (e.g., contract terms, non-disclosure agreements, policy updates, conflict of interest letters, organizational conflict of interest plans including mitigation strategies) for accuracy and compliance with policies and applicable laws and regulations, both foreign and domestic.
- Drafts, reviews, and revises documents concerning subsidiary governance or other and/or customer required documents.
- Assist intellectual property counsel in advising on intellectual property and information protection issues and U. S. Government rights in data and software.
- Collect and compile facts, conduct detailed risk analysis, and identify potential solutions in a time critical environment.
- Prepare and deliver for attorney review and decision quality, written concise issue summaries which outline facts, highlight relevant contractual and legal requirements.
- Perform review and analysis of contract terms and conditions to minimize risk.
- Under attorney oversight, conduct due diligence reviews of open source software, including interpreting the applicability of the related licenses to planned software use.
- Conduct intellectual property exit interviews of departing employees.
- Prepare and deliver for attorney review and decision quality, written concise issue summaries which outline facts, highlight relevant contractual and legal requirements.
- Perform legal research, conduct fact investigations, and manage complex projects.
- Conducts information integrity incident investigations.
- The position may require occasional responsibilities for team or department-oriented tasks, projects, and activities.
Required Skills:
- Experience drafting, reviewing, and revising contracts, such as purchase agreements, software licenses, supply agreements, services agreements, non-disclosure agreements or memorandum of understanding
- Proficiency in performing legal research via Lexis and/or Westlaw and providing litigation assessments
Preferred Qualifications:
- Experience conducting in-depth research and general legal research, including but not limited to statutory, regulatory, interpretive agency documents, legislative histories and case research within the last two years using Lexis/Nexis and/or Westlaw
- Working knowledge of Federal Acquisition Regulations and supplemental regulations
- Proficiency with SharePoint set-up, Webex set up and records management systems
- Experience in the handling and safeguarding of proprietary and confidential information
- Prefer at least seven (7) or more years of relevant legal experience
- Paralegal Certificate and Bachelor's degree desired
- Outstanding writing and analytical abilities
