About the role:
As a Senior Associate or Counsel in our Securities Group, you will play a pivotal role in managing a broad range of securities-related matters. This includes public and private offerings of securities, regulatory compliance, and corporate governance issues. You will work in a collegial and supportive environment, demonstrating your expertise in securities law while collaborating with a dynamic team.
Responsibilities:
- Manage compliance with public company rules and regulations, including the - - Securities Act of 1933 and the Securities Exchange Act of 1934.
- Oversee public and private securities offerings.
- Ensure adherence to national securities exchange listing rules.
- Handle reporting obligations on Forms 10-K, 10-Q, and 8-K.
- Prepare proxy statements for annual and special shareholder meetings.
- Manage Section 16 reporting requirements using Forms 3, 4, and 5.
- Provide general corporate and corporate governance support, including drafting board resolutions, policies, and press releases.
- Experience with broker-dealer, FINRA, investment adviser, or fund formation is a plus.
Qualifications:
- Minimum of 3 years of experience in securities law with a reputable law firm.
- Strong background in public company regulations, securities offerings, and corporate governance.
- Bar admission required for the jurisdiction of practice.
- Proven ability to work independently as well as part of a team.
