An AmLaw 200 law firm in New York City is seeking to onboard a Corporate Associate to focus mainly on mergers & acquisitions.
The Corporate Practice Group is highly recognized by Chambers USA and is nationally ranked by U.S. News Best Lawyers ‘Best Law Firms’. The firm is known for providing services to national and international clients that include public and private, middle-market and emerging companies, as well as private equity funds, entrepreneurs and not-for-profit organizations.
Experience:
- The ideal candidate will have extensive M&A experience, including experience drafting and negotiating primary transaction agreements, as well as the ability and desire to lead project teams.
- Associates must have experience drafting LLC agreements, commercial contracts and/or similar documents for corporate entities.
- Candidates must be a self-starter with excellent attention to detail and superb writing, research, and interpersonal skills.
- Applicants must have excellent legal research and writing skills and verbal communication skills.
- Associates must be licensed to practice law in New York and be in good standing.
Responsibilities:
- The team represents publicly and privately held corporations, financial institutions, merchant and investment bankers, partnerships and proprietorships, venture capitalists, and entrepreneurs.
- Drafting and reviewing ancillary transactional documents, including signing and closing documents for public and private company mergers and acquisitions, legal memoranda and opinion letters.
- Assisting in signing/closing process for sophisticated public and private company M&A deals.
- Representing clients in a variety of corporate transactions and negotiating effectively with the counterparty in challenging situations.
- Advising clients on corporate law issues and assisting with corporate governance and other general corporate matters.
- Coordinating workstreams and tasks among different groups internally.
- Reviewing corporate governance documents and commercial contracts, including customer contracts, credit agreements and leases, leading due diligence calls, drafting due diligence memoranda and presentation, and providing clients with periodic diligence updates.
