Waters Corporation (NYSE: WAT) is offering an exciting opportunity for an Associate General Counsel – Corporate Governance and Securities. Reporting to the SVP, General Counsel, this role is responsible and accountable on an enterprise basis for legal strategy and execution for corporate governance, including subsidiary governance, U.S. public company compliance and reporting, corporate finance matters, investor relations and intercompany transactions. This is a hybrid position that operates out of our Milford, Massachusetts headquarters.

The Associate General Counsel must be able to partner effectively at the executive level, work collaboratively through direct and indirect authority across boundaries and geographies, and work across the enterprise and the global Legal team. This role will be a trusted advisor to the Chief Financial Officer’s senior leadership team.

Responsibilities

  • Responsible for supporting the General Counsel in all aspects of corporate governance matters related to the Board of Directors and its Committees
  • Responsible and accountable for all aspects of corporate governance for the Company’s subsidiaries throughout the world, including subsidiary management and corporate record keeping
  • Managing complex corporate governance obligations for Company subsidiaries in connection with strategic transactions and tax and finance initiatives around the globe
  • Lead legal advisor for all of the Company’s disclosure reports, including the Company’s Annual/Quarterly Reports on Forms 10-K/Q, Current Reports on Form 8-K, Proxy statement, and any Registration Statements
  • Manage the process and oversight of the Company’s insider program and Section 16 filings
  • Responible for the management of enterprise corporate governance policies and training
  • Staff member of the Company’s Disclosure Committee, responsible for meeting management, content and minutes
  • Provide legal support to Corporate Finance on intercompany transactions, debt offering and other corporate finance related matters
  • Responsible and accountable for the management of the Company’s Annual Meeting of Stockholders
  • Responsible for effective management of outside counsel and vendors across a wide variety of legal and regulatory matters
  • Proactively monitor legal and regulatory trends and advise on the impact to the enterprise
  • Create and deliver training on key legal, public company compliance and corporate governance issues
  • Responsible for delivering against the Company’s sustainability goals related to Governance


Qualifications

  • A high-quality lawyer with 10+ years of experience in public company corporate and subsidiary governance, securities, SEC reporting and corporate finance matters.
  • Excellent communication skills and a demonstrated ability to maintain strong working relationships with all stakeholders across the organization, including the executive level and Board of Directors.
  • Outstanding presence and maturity, with strong interpersonal and leadership skills
  • Must execute both strategically and tactically, with strong business acumen and a demonstrated ability to understand business goals and objectives and develop effective legal strategies
  • Operate with a high degree of urgency to address enterprise issues and needs
  • Operate with unquestioned integrity, transparency, judgment, and humility
  • Ability to work cooperatively with others and to function well in a team environment
  • Thrive in a fast-paced, innovative environment with the ability to manage numerous matters simultaneously under deadlines and with limited supervision
