About:
An AmLaw firm in New York City is seeking an experienced Corporate Associate to handle complex private equity matters.
The leading practice has experience in a wide variety of private equity and venture capital matters, including the creation of optimal fund and acquisition/investment structures; the allocation of control and contractual rights between management and investors; the development and implementation of exit strategies; including debt and equity recapitalizations; mergers and acquisitions; sales; and senior and junior debt financing transactions. Its attorneys have represented clients in industries such as aerospace, healthcare, biotechnology, life sciences, manufacturing, gaming, insurance, telecommunications, software, technology, energy, media, and more.
Experience:
- Applicants must have experience with private equity transactions and interact directly with clients.
- Experience in drafting and negotiating purchase and merger agreements, LLC and LP agreements and other ancillary transaction documents and otherwise meeting the day-to-day requirements of private equity fund and portfolio company clients is expected.
- Candidates should have excellent drafting, writing and analytical skills, strong attention to detail, organizational, verbal, interpersonal and project management skills.
- Experience leading deal teams is a plus.
- Associates must be licensed to practice law in New York.
Responsibilities:
- The associate will work with the Private Equity team representing middle-market and lower-middle-market private equity funds, family offices and independent sponsors in their investment strategies, including leveraged buyouts, mergers and acquisitions, structured equity investments, and other strategic transactions.
- Represent private equity funds; professional, institutional and angel investors; family offices; and independent sponsors and others seeking to raise capital in private equity and venture finance transactions.
- Act as outside general counsel for most of the portfolio companies of fund clients in handling both day-to-day legal issues, add-on acquisitions/divestitures and the eventual sale of the company.
- Counsel portfolio company boards and their management teams to navigate the complicated legal and business landscape in matters including employee benefits, intellectual property, tax and corporate finance along with other personnel-related and day-to-day issues.
