A AmLaw50 firm is seeking mid-level and senior Real Estate associates to join its growing team in New York. The ideal candidates will have solid experience in one or more of the following areas: mortgage/mezzanine debt (lender and/or borrower side), joint-venture equity work, acquisitions and dispositions, and/or development. We value professional growth, mentorship, and a positive work culture. Strong candidates with non-real estate transactional backgrounds will also be considered.


Key Responsibilities:

  • Mortgage/Mezzanine Debt: Advise clients on mortgage and mezzanine financing transactions, representing both lenders and borrowers. Draft, negotiate, and close financing documents.
  • Joint-Venture Equity Work: Structure and negotiate joint venture agreements, representing developers, investors, and other stakeholders in equity transactions.
  • Acquisitions and Dispositions: Manage and execute real estate acquisition and disposition transactions, including due diligence, contract negotiation, and closing processes.
  • Development: Provide legal counsel on real estate development projects, including land use, zoning, permitting, and construction agreements.
  • Client Representation: Represent a diverse clientele, including real estate developers, investors, financial institutions, and corporate clients in various real estate transactions.
  • Transaction Management: Oversee complex real estate transactions from inception to closing, ensuring all aspects are managed efficiently and effectively.
  • Documentation: Prepare and review legal documents related to real estate transactions, such as purchase agreements, loan documents, joint venture agreements, and leases.
  • Regulatory Compliance: Ensure compliance with relevant laws and regulations, including zoning, environmental, and land use requirements.
  • Cross-functional Collaboration: Work closely with other practice groups within the firm, such as Corporate, Finance, and Environmental, to provide comprehensive legal solutions.
  • Client Development: Build and maintain strong client relationships, providing strategic advice and identifying opportunities for business development.


Qualifications:

  • Experience: Mid-level and senior associates with solid experience in real estate transactions, including mortgage/mezzanine debt, joint-venture equity, acquisitions and dispositions, and/or development. Non-real estate transactional backgrounds will also be considered.
  • Education: Juris Doctor (JD) from an accredited law school.
  • Bar Admission: Admitted to practice in New York.
  • Skills: Strong analytical, drafting, negotiation, and communication skills.
  • Attention to Detail: High level of attention to detail, with the ability to manage multiple tasks and deadlines.
  • Team Player: Ability to work collaboratively in a team-oriented environment, as well as independently.
  • Proactive Approach: Proactive in identifying issues and providing innovative solutions.
