In-House Corporate Attorney

Our biotech and digital health-focused family office VC, Morningside, is seeking an experienced attorney to join our dynamic team in the greater Boston area. The Role: You will work closely with our investment team, portfolio companies, and external partners to structure deals, mitigate risks, and ensure compliance. Your strategic guidance and legal acumen will be instrumental in driving the success of our innovative ventures.

Key Responsibilities:

·        Provide legal guidance on investment transactions, including due diligence, contract negotiation, and deal structuring

·        Advise on regulatory matters related to biotech and digital health, ensuring compliance with applicable laws and regulations

·        Collaborate with portfolio companies to address legal challenges and support their growth and success

·        Manage and oversee external legal counsel, as needed

·        Stay abreast of industry trends and emerging legal issues to proactively mitigate risks and identify opportunities

Your Qualifications:

·        J.D. from a top-tier law school and admission to the Massachusetts Bar

·        6-10 years of total experience as an attorney, with a preferred mix of big law firm and in-house experience, with a focus on venture capital, biotech, or digital health

·        Strong transactional experience, including NVCA-style venture financings, mergers and acquisitions, licensing agreements and cross-border deals

·        Deep understanding of regulatory frameworks governing biotech and digital health and cross-border investments

·        Exceptional analytical, problem-solving, and communication skills

·        Entrepreneurial mindset and ability to thrive in a fast-paced, dynamic environment
