The Corporate division encompasses the core operational support for all Land O'Lakes businesses.

It includes Corporate Strategy, Corporate Communications, Land O'Lakes Foundation and Community Relations, Finance, Law, Member Relations, Facilities, Event Strategy, Security, Human Resources, Information Technology, Corporate Marketing and Government Relations.


Position Purpose:


As a Corporate Paralegal within our company, you will report to corporate counsel and play a critical role in supporting the corporate functions as a member of our Law Department team.

This position will have primary responsibility for the following:

Key Responsibilities:


Draft, review and revise corporate governance documents and records, to include articles, bylaws/operating agreements, written actions, resolutions, certificates and other documents required in connection with the formation and dissolution of business entities.

Organize, maintain, and manage all corporate records and databases to reflect up-to-date corporate details.
Register and maintain state and local business qualifications, assumed business name registrations and all corresponding annual renewals/reports.

Assist with corporate transactions (mergers, acquisitions, divestitures, and joint ventures) and financing transactions, including coordinating due diligence and organizing datarooms.

Coordinate and prepare documents for foreign entity formation in support of international development non-profit.
Effectively liaise with outside counsel, when appropriate, to manage and support project coordination.
Coordinate and maintain records, documentation and related processes for lender reporting and annual audit.
Effectively anticipate and execute general paralegal duties to support the attorneys.

Qualifications:
Experience-Education (Required):

Associate degree or higher and paralegal certification
5 or more years of experience as a corporate paralegal in a law firm or corporate legal department
Experience drafting, reviewing and revising corporate governance documents and records

Competencies-Skills (Required):
Familiarity with large and complex organizations, with multiple businesses and subsidiaries
Proficiency in Microsoft Office Suite and DocuSign
Excellent organizational skills and ability to effectively communicate with all levels of the company

Experience-Education (Preferred):
Bachelor's degree in paralegal studies, business, or a related field
Certification from a recognized paralegal association, such as the American Bar Association (ABA), National Association of Legal Assistants (NALA) or the National Federation of Paralegal Associations (NFPA)
Proficiency in hCue, Legal Tracker, ContractPodAi

Experience with and knowledge of:
Commercial lending transactions, including financial covenants and lender reporting, international entity formation and governance
