Job Description

BAE Systems, Inc. is seeking it's next Vice President II & Chief Counsel. This position reports up to the Senior Vice President and General Counsel at our corporate infrastructure (Inc.) and is dedicated to the company's Electronic Systems Sector.

The preferred work location for this role is Nashua, NH with a secondary option to work out of Falls Church, VA for exceptional talent and additional travel expectations to Southern, NH. Because this role involves a combination of collaborative/in-person and independent work, it will take the form of a hybrid work format, with time split between working onsite and remotely.

This position proactively advises and provides legal services to Sector leadership in the wide-ranging areas where business legal issues arise - government, international and commercial contracting, organization and personnel, real estate, licensing, intellectual property, mergers and acquisitions, litigation, environmental, and other compliance matters. Manages legal and business matters at a senior level for the SVP & General Counsel, Sector President, and Sector leadership team. Serves as counselor to the Sector President regarding the overall strategic direction of the Sector. Develops legal strategy and provides counsel to management on the legal implications of all activities relative to business and regulatory issues. Develop and motivate those in the ES legal organization. Ensures that the business is in compliance with corporate and governmental directives, policies, regulations, and laws and maintains a strong ethical culture and program.

Essential Duties and Responsibilities
1. Acts as advisor on legal issues involving the Sector's governance and regulatory compliance, as well as non-financial risk management. Works as a partner with the business to facilitate compliance with international laws, and federal and state regulations. Advises management of new legislation and government regulations which might affect operations. Selects, prepares, and performs various legal training courses to company personnel, as required.

2. Supports the Sector organization (including without limitation the Sector contracts function) on appropriate legal and related business actions to be taken. Drafts, reviews and/or oversees the drafting of a wide range of legal/contractual documents, including, but not limited to, commercial, international and government contract documents, non-disclosure agreements, teaming agreements, acquisition and disposition agreements, leases, licenses, and purchase and sales agreements

3. Functions as liaison between management and outside legal counsel. Instructs, and supervises outside counsel; manages outside counsel legal budget and plans and negotiates the disposition of disputes. Represents the company in a broad range of contacts with federal, state, and local governments and agencies and with public interest groups.

4. Assists in the development and management of the broader Inc. legal function and participates (as appropriate) in global initiatives. Develops a high performing team and shares responsibility of self-development with immediate supervisor. Manages legal department to ensure objectives are achieved and within established budget

5. Ensures that the Sector and its business areas have the highest quality of legal counsel, who are thorough, thoughtful, creative, and accurate

6. Takes necessary steps so that the business is compliant and ethical in its transactions, and protects the company against potential claims and lawsuits.

7. Collaborates fully with Inc. HQ legal functions, including corporate, employment & labor, litigation & investigations, ethics, contracts, M&A, international compliance, export control, and security

8. Frequently sets Sector-level policies and procedures

Required Education, Experience, & Skills
  • Juris Doctorate and 15+ years of relevant work experience.
  • 15+ years relevant management experience preferred.
  • Analytical skills needed to resolve issues in a variety of complex situations, without supervision.
  • Skilled communicator who influences and shapes the image of a complex Program/Line of Business/Sector.
  • Extensive negotiation skills supporting high level internal partners/customers and external relationships.
  • Prior experience making major contributions and impact to an Enterprise level environment.
  • Experience setting legal policy and procedure.
  • Project management skills focused on developing creative solutions.
  • Ability to obtain Top secret clearance.

  • Active TS Clearance
  • Experience supporting the Department of Defense
