SUMMARY

This position will provide assistance and support to the legal staff.

ESSENTIAL DUTIES AND RESPONSIBILITIES

Preparation, revision, and proofing of legal documents, including contracts, exhibits and schedules to agreements, certifications, etc. Assistance with due diligence and closing activities of transactions.
Maintenance and organization of electronic and physical Intellectual Property documents. Assist counsel in liaising with agencies on domestic and foreign original filings, renewals, potential abandonment of patents and trademarks.
Assistance with preparation and filing of submissions with other governmental entities (including the Texas Railroad Commission, the U.S. Environmental Protection Agency, etc.). Assistance with organizing and producing documents in connection with government investigations.
Maintenance and organization of contract database for Westlake companies.
Assistance with organizing and producing documents in connection with litigation.
Preparation and maintenance of corporate records, including electronic and physical corporate minute books, charter documents, consents and resolutions. Assistance with preparation and distribution of materials to directors in anticipation of board meetings.
Maintenance and organization of legal library and file room. Order new materials for library and keep subscriptions current. Update legal reporters and services. Assist with filing and retrieval of electronic and physical documents. Input data for maintenance and retrieval of files stored offsite.
General office assistance with correspondence, expense reports, travel bookings, organizing meetings, etc.
Comply with all Company policies and procedures.
Fully supports Company goals of continuous improvement and operational excellence at strategic and tactical levels including reviewing area of responsibility for improvement opportunities as well as active participation on project teams.
Work as part of the department team, including assisting and providing back-up for other members of the department as needed.

QUALIFICATIONS

The successful candidate will possess excellent organizational, interpersonal, and communication skills, a team-oriented mindset and strong work ethic; and the ability to multitask. Efficiency and accuracy are extremely important. Overtime work is occasionally required.

EDUCATION and/or EXPERIENCE

High school Diploma and paralegal certification required.
Additional college or business school preferred.
Requires 10+ years experience working with lawyers in law firm and/or corporation.
Must be proficient with computer software, primarily
Microsoft Word, Excel, and PowerPoint.
Experience with board portal (e.g., BoardVantage), database (e.g., Access) and diagramming (e.g., Visio) programs and systems is strongly preferred.

PHYSICAL DEMANDS

While performing the duties of this job, the employee is frequently required to sit; stand; walk; use hands to touch, handle, or feel; reach with hands and arms; and talk or hear. The employee is occasionally required to stoop, kneel, or crouch. The employee must regularly lift and/or move up to 10 pounds, frequently lift and/or move up to 25 pounds, and occasionally lift and/or move up to 50 pounds. Specific vision abilities required by this job include close vision, distance vision, color vision, peripheral vision, depth perception, and ability to adjust focus.

WORK ENVIRONMENT

The noise level in the work environment is usually moderate as normally based in an office. Some of the work may be required in the operating units which can require usage of required PPE including safety glasses, hearing protection, etc. May also result in exposure to outside elements and may require usage of stairs and elevators. Occasional travel may be required.
